13.1 Disclaimer of warranties.
The warranties set forth herein are limited warranties and are the only warranties made by the respective Parties. The Parties expressly disclaim all other warranties, express, implied or statutory to the extent permitted by law.
13.2 Limitation of liability.
13.2.1 In no event shall either Party be liable either in contract, tort, including, negligence, or otherwise for any consequential, indirect, incidental or punitive loss, damage or expenses, or for any loss of business or profits, or replacements costs suffered by the other.
13.2.2 To the maximum extent permissible under applicable law, the aggregate liability of either Party whether arising in contract, tort, liability, negligence or otherwise shall in any event under this Agreement be limited to the aggregate of the amount paid or payable to __ by the Company for the Codes provided, however, that in no event shall the limitation set forth herein limit a Party’s right to obtain equitable relief against the other Party.
13.2.3 Nothing in this Clause 13 is intended to exclude or restrict or shall be construed as excluding or restricting the liability of either Party for the death or personal injury caused by the negligence of either Party or its employees, servants or agents.
14. MISCELLANEOUS
14.1 Neither Party may without the written consent of the other, assign, mortgage, charge or dispose of any of its rights hereunder, or otherwise delegate any of its obligations hereunder. __ is however, entitled to use subcontractors provided that such subcontractors are bound by confidentiality obligations not less stringent than what is stated herein.
14.2 Nothing in this Agreement shall create, or be deemed to create, a partnership or the relationship of principal and agent or employer and employee between the Parties hereto.
14.3 This Agreement constitutes the entire agreement between the Parties in relation to its subject matter, and replaces and extinguishes all prior agreements, arrangements, undertakings or collateral contracts of any nature made by the Parties, whether oral or written, in relation to such subject matter. Each Party acknowledges that it is not relying on, and shall have no remedy in respect of, any statements, warranties, undertakings or representations given or made by the other Party regarding the subject-matter of this Agreement, except for those expressly set out in this Agreement. Nothing in this clause shall exclude or restrict the liability of either Party arising out of fraud or fraudulent misrepresentation.
14.4 Any waiver by either of the Parties hereto of any breach of the Agreement shall not constitute or be treated as a waiver of any subsequent breach.
14.5 This Agreement shall be governed by and performed in accordance with the laws of England and Wales and shall be subject to the exclusive jurisdiction of the courts of England, and construed in accordance with the English language.
14.6 Any notice or other information required or authorised by this Agreement to be given by either Party to the other may be given by hand or sent by registered post, facsimile transmission or comparable means of communication to the other Party at the address referred to on the first page of this Agreement. In the event that any Party hereto refuses to accept any notice delivered in connection herewith and such refusal is endorsed by a deliverer of such notice, such notice shall be deemed duly delivered as of the date of such endorsement.
14.7 The section and other headings contained in this Agreement are for reference purposes only and will not affect the meaning or interpretation of this Agreement. References to schedules shall, unless otherwise indicated, refer to the schedules attached to this Agreement, which shall be incorporated in and constitute a part of this Agreement by such reference.
14.8 If any provision hereof is deemed void, the remaining provisions hereof shall remain in force, unless the circumstances indicate that, in the absence of the provisions deemed void, the Agreement would not have been entered into. The Parties shall strive to replace any void provision with an alternative provision that corresponds to the Parties intentions and the purpose hereof.
14.9. Any amendment hereto shall be made in writing in order to be valid.
14.10. This Agreement may be entered into by the Parties in any number of counterparts. Each counterpart shall, when executed and delivered, be regarded as an original, and all the counterparts shall together constitute one and the same instrument. This Agreement shall not take effect until it has been executed by both Parties.

13.2.2 Насколько позволяет действующий закон, совокупная ответственность любой Стороны, возникающая в связи с договором, деликтом, ответственностью, небрежностью или иным образом, должна в любом случае по настоящему соглашению ограничиваться совокупностью оплаченной и подлежащей оплате суммы __ Компанией за Коды, при условии что ни в коем случае ограничение, оговоренное в настоящем Соглашении, не ограничивает право Стороны получить средство судебной защиты по праву справедливости против другой стороны
13.2.3 Никакие положения пункта 13 не исключают или ограничивают либо не должны толковаться как исключающие или ограничивающие ответственность любой Стороны за гибель или телесные повреждения, вызванные небрежностью любой Стороны или ее сотрудниками, служащими, агентами.
14. РАЗНОЕ
14.1 Ни одна из Сторон, без письменного Согласия другой Стороны, не имеет права передавать, закладывать, обременять или распоряжаться какими-либо правами, предоставляемыми такой Стороне по настоящему Соглашению, или иным образом делегировать какие-либо из своих обязательств по данному Соглашению. При этом __ имеет право пользоваться услугами субподрядчиков, при условии, что таковые связаны обязательствами в отношении соблюдения конфиденциальности, не менее жесткими, чем соответствующие обязательства, установленные настоящим Соглашением.
14.2 Ни одно из положений настоящего Соглашения не предполагает возникновения партнерства или отношений принципала и агента, работодателя и наемного работника между Сторонами настоящего Соглашения, и не считается таким, которое ведет к возникновению подобных отношений или партнерства.
14.3 Настоящее Соглашение представляет собой целостное соглашение между Сторонами в отношении предмета данного соглашения, и замещает и исключает все предшествующие договоренности, обязательства или дополнительные договора какого-либо рода, заключенные Сторонами в письменной или устной форме в отношении предмета настоящего Соглашения. Каждая из Сторон признает, что такая Сторона не опирается на, и не получает каких-либо средств защиты права из каких-либо заявлений, гарантий, обязательств или пояснений, предоставленных другой Стороной в отношении предмета настоящего Соглашения, за исключением случаев, явно оговоренных в таковом. Ни одно из положений настоящего Пункта не исключает и не ограничивает обязательств Сторон, возникающих в связи с мошенничеством или мошенническим толкованием такого положения.
14.4 Отказ одной из Сторон от какого-либо нарушения настоящего Соглашения не представляет собой и не считается представляющим собой отказ от последующих нарушений.
14.5 Настоящее Соглашение регулируется и выполняется в соответствии с законодательством Англии и Уэльса, и подлежит эксклюзивной юрисдикции судов Англии, и интерпретируется в соответствии с английским языком.
14.6 Все уведомления или иные сведения, требуемые или авторизованные по настоящему Соглашению для предоставления какой-либо Стороной другой Стороне, могут быть переданы лично в руки, отправлены заказным письмом, факсом или иным аналогичным способом коммуникации другой Стороне по адресу, указанному на первой странице данного Соглашения. В случае если одна из Сторон данного Соглашения выражает отказ в отношении принятия какого-либо уведомления, предоставленного в связи с настоящим Соглашением, и такой отказ зафиксирован на данном уведомлении лицом, доставившим такое уведомление, последнее считается надлежащим образом доставленным на дату такой отметки об отказе.
14.7 Названия разделов и иные заголовки, содержащиеся в настоящем Соглашении, использованы исключительно в качестве справочной информации и не влияют на значение или интерпретацию данного Соглашения. Ссылки на приложения, если не оговорено иное, являются ссылками на Приложения к настоящему Соглашению, при этом такие Приложения считаются частью данного Соглашения.
14.8 В случае если какое-либо положение настоящего Соглашения признается недействительным, остальные положения данного Соглашения сохраняют свою силу, если обстоятельства не указывают на то, что в случае отсутствия положений, утративших силу, данное Соглашение не было бы подписано. Стороны обязуются предпринять все необходимые меры для замещения положения, утратившего силу, альтернативным положением, в соответствии с намерениями Сторон и целью данного Соглашения.
14.9. Какие-либо дополнения к настоящему Соглашению являются действительными только в том случае, если таковые были внесены в письменной форме.
14.10. Настоящее Соглашение может быть подписано Сторонами в неограниченном количестве экземпляров. Каждый подписанный и врученный экземпляр имеет силу оригинала, при этом все экземпляры представляют собой единое Соглашение. Настоящее Соглашение вступает в силу только после подписания обеими Сторонами.

The United States warmly welcomes OSCE Special Representative on Freedom of the Media Dunja Mijatovic to the Permanent Council and thanks her for her latest report.
Representative Mijatovic, we see your work, and that of your dedicated staff, as particularly important when an increasing number of OSCE participating States—as your report demonstrates—are falling short of their commitments to protect freedom of expression by the media and to ensure the safety of journalists. We make no claims to perfection in this area ourselves, and we appreciate your contributions to our ongoing public debate over how best to minimize government intrusion in our open media environment while taking all necessary steps to safeguard national security.
As you are aware, President Obama has publicly called for passage by the Congress of a shield law to protect journalists engaged in activity protected by the first amendment to our Constitution.
Of significant concern to us is a recent spate of statements and actions by participating States that run counter to OSCE commitments and other international commitments to protect and foster freedom of expression, including by members of the media, and through use of information and communications technologies. The Russian Federation has repeatedly called for a review of the RFoM mandate in an effort to limit the OSCE’s authority to address internet freedom issues.
As one of 51 participating States supporting the Declaration on Fundamental Freedoms in the Digital Age (FFIDA), we believe this reflects an unfounded and unrealistic view of the marketplace of ideas that comprises today’s global media and technology environment. Several OSCE participating States also engage in blocking Internet sites thought to contain controversial material on current political affairs.
The Internet and social media should be welcomed for their role in empowering citizens to participate actively in democratic development and for fostering public debate and government accountability—basic principles of the Helsinki Final Act. And we assure you, Representative Mijatovic, there will be no consensus for any proposal that would prevent or hinder your office from monitoring developments in the OSCE region regarding the exercise of freedom of expression through the medium of the Internet or other new information and communications technologies.
Over the six months since your previous report, we have been impressed by your efforts to defend and open up space for freedom of expression by the media in some of the OSCE’s most closed media environments. We were heartened by your recent visit to Belarus and your participation in a training seminar in Minsk. We hope this portends expanded cooperation between your office and Belarus and some amelioration of that nation’s poor record on freedom of expression. We are pleased that you were afforded the opportunity to express your concerns about the persecution of independent journalists, including those who work online, and the need for liberalization of media regulations—concerns we certainly share—to senior government officials. We echo your appeal for Belarus to end detentions of journalists and social media activists covering public events. We further call upon the Belarusian government to cease subjecting independent journalists and Internet reporters to official harassment for their coverage of events in Belarus, including public protests.
We are also cautiously optimistic about your cooperation with the government of Turkmenistan in drafting its new media law. While we believe this law leans too heavily toward codification of intrusive government regulation of the media, it nonetheless represents a limited positive development for the country. As you noted, a similar new law was promulgated by the government of Tajikistan. We call upon the Turkmen and Tajik governments to continue working with Representative Mijatovic in developing the legal instruments necessary to implement provisions of the new media laws that would liberalize the media environment in their countries and move them toward fulfillment of their OSCE commitments.
Representative Mijatovic, the United States shares the concerns you have expressed about distinctly negative trends in some other participating States regarding freedom of expression by the media. Azerbaijan has taken several regrettable actions in this area during 2013, including jailing journalists critical of the government; using excessive force against reporters covering a January 12 public protest; and culminating in the recent adoption of legislation criminalizing defamation over the Internet, prompting your joint press release with the Council of Europe. We are also dismayed at the recent renewal of a smear campaign against journalist Khadija Ismayilova. We urge the government of Azerbaijan to abide by its OSCE commitments, cease imprisoning journalists, thoroughly investigate instances of violence against or intimidation of journalists related to their work, and prosecute those responsible.
We reiterate our concern about the issue of persistent impunity for violent attacks against journalists in the Russian Federation and Ukraine. We noted in your report the convictions of the killers of Russian television reporter Kazbek Gekkiyev in the southern republic of Kabardino-Balkaria and of Georgyi Gongadze, the founder of the website Ukrainska Pravda. However, several other cases of serious violence against journalists in these two countries remain unsolved. The United States is disappointed that Russia was unwilling to address the important topic of protecting the safety of journalists at last month’s Human Dimension Seminar on Media Freedom Legal Frameworks in Warsaw. We also share your concern over the inspections of NGOs by authorities in the Russian Federation.
The treatment of journalists with dissenting or differing views in Turkey remains a serious concern. Arrests of journalists under anti-terrorism and other laws, lengthy pre-trial detentions, and severe punishments for those convicted are worrisome. We are also troubled by incidents of violence against journalists, and the firing of journalists for writing articles critical of government policies or officials. Under threat of prison, violent attack, or unemployment, we understand journalists and Turkish media outlets have resorted to self-censorship. Such self-censorship was evident when Turkish media refrained from reporting on the May 31 protests at Taksim Square when there were independent reports of numerous incidents of violence by police against demonstrators. Fines levied by Turkey’s media watchdog against several media outlets that did broadcast coverage of the Gezi park protests exacerbate this problem. We are hopeful that cooperation between your office and Turkish officials, and efforts by the Turkish government to reform its laws and practices, will contribute to improvements in the realm of free media in Turkey in the near future.

Текст оригинала - английский Two general issues are essential to bear in mind when monitoring the rights of persons
with disabilities. First, remember that the aim is to monitor the rights of persons with disabilities and not disability. Thus, monitors should be asking what society has or has not done which is obstructing the full enjoyment of their rights—not how their physical or mental impairment has affected the enjoyment of their rights. For example, when monitoring the right to education, consider that poor teacher training, negative attitudes and prejudice or inaccessible schools are likely the reason why a person with disabilities does not enjoy the right to education fully, rather than the person being blind, deaf or having a psychosocial disability. Second, remember to work directly with persons with disabilities. Given the invisibility of persons with disabilities in most societies, ask representative organizations for assistance in meeting relevant individuals. Furthermore, it is important to communicate directly with the person—not with carers, health professionals, family members or others, even if those people claim to speak for the person. Communicating directly with the individual may entail the use of assistive devices, sign-language interpreters or support persons. It is, therefore, important for
monitors to be aware that the interviewee’s message could be inaccurately or incompletely
communicated or misunderstood (e.g., be aware of the relationship between the support person and the individual, the familiarity of the individual with the assistive device). If carers and others are trusted companions they might be able to give invaluable information but it is important not to assume this. Some people who claim to care for persons with disabilities might intentionally or unintentionally be contributing to abuse.
The rest of the section provides some guidelines on etiquette, particularly when
interviewing persons with disabilities.
