Source text - English SARCLAD TERMS AND CONDITIONS OF PURCHASE GENERAL PROVISIONS a. The definition of terms used, interpretation of this Purchase Order, and the rights of the parties shall be construed under and governed by the Uniform Commercial Code of the State of England. “Buyer” means Sarclad [and/or any of its divisions, subsidiaries, and/or affiliates]. “Seller” means the party to which this Purchase Order is addressed and also includes Seller’s principal if Seller is acting as broker or agent. “Purchase Order” means the attached or enclosed purchase order, which includes these Terms and Conditions of Purchase, all performance requirements and specifications issued hereunder, and all drawings, models, and samples furnished hereunder. “Goods” means those articles, materials, supplies, drawings, data, or other property or services described in the Purchase Order. b. If the Purchase Order is deemed to constitute an offer, it may be accepted only on terms set forth in the Purchase Order, including, without limitation, these Terms and Conditions. If the Purchase Order is deemed to constitute an acceptance of an offer, such acceptance is expressly conditioned on Seller's assent to the terms of the Purchase Order, including, without limitation, these Terms and Conditions of Purchase, and shipment of any part of the Goods or other commencement of performance shall be deemed to constitute such assent. Any additional and/or different terms and conditions proposed by Seller and/or any attempt by Seller to vary any of these terms and conditions shall be deemed a material alteration and is hereby objected to and rejected. c. Buyer may at any time, by written notice to Seller, make changes in the drawings, specifications, quantities, and delivery schedules and shipping instructions under the Purchase Order. If any such change increases or decreases the cost of performing the Purchase Order or the time required for its performance, an equitable adjustment in prices and/or delivery schedules shall be agreed between the parties as soon as practicable, but in any event no later than 10 days prior to delivery of the Goods. d. Buyer’s part number & Purchase Order number must appear on all shipping papers, invoices, parcels, or containers. e. In the event of Seller’s delay or failure to perform due to a cause beyond Seller’s reasonable control, including acts of God, government action, floods, epidemics, war, or riot, but excluding strikes or other labor disturbances or disputes involving Seller, the date for Seller’s performance shall be extended for a period equal to the time lost by reason of such occurrence; provided, however, that Seller shall take reasonable measures to mitigate and minimize the effect of such event and to continue with performance of its obligations, and Buyer may, at its option, cancel the Purchase Order with no resulting cost or liability to Buyer. f. Slovak republic law shall apply to this Purchase Order and any proceeding relating hereto, notwithstanding its provisions regarding conflicts of law. If any provision or part of a provision of the Purchase Order is found to be illegal, invalid or unenforceable under any applicable law, such provision or part of a provision shall, insofar as it is severable from the remaining terms, be deemed omitted from Purchase Order and shall in no way affect the legality, validity or enforceability of the remaining terms. g. The Purchase Order constitutes the entire agreement between the parties with respect to the subject matter hereof and shall supersede all previous proposals, both oral and written, negotiations, representations, commitments, writings and all other communications between the Parties. Seller may not assign any of the amounts due or to become due and may not assign or subcontract any of the work to be performed under the Purchase Order without the prior written consent of Buyer. h. All disputes arising under or in connection with the Purchase Order shall be resolved by (a) good-faith negotiations by knowledgeable, responsible representatives of each party who are fully authorized to settle any such dispute, or (b) in the event such negotiations do not resolve such dispute, binding arbitration held in Chicago, Illinois, by a single arbitrator pursuant to the Commercial Arbitration Rules of the American Arbitration Association. Each party shall bear its own costs of these procedures; the parties shall equally split the fees of the arbitration and the arbitrator. Notwithstanding the above, either party shall have the right to seek a temporary restraining Purchase Order or an injunction related to the purposes of the Purchase Order, to compel compliance with confidentiality obligations, or to file suit to compel compliance with this dispute resolution process. PRICE; CREDIT; WAIVER OF LIENS The Purchase Order shall not be filled at a higher price than specified herein. If the price is omitted in the Purchase Order, the Goods shall be billed at the price last paid or quoted, or at the prevailing market price, whichever is lower. Buyer shall only be liable for such federal, state, and local taxes levied on Buyer which Seller is required by law to collect from Buyer. Seller shall not assess, and Buyer shall not be responsible for, surcharges of any kind (including, but not limited to, surcharges for raw materials, fuel, freight or otherwise), unless specifically agreed to in a writing signed by Buyer which states the applicable surcharge and the precise method or formula by which such surcharge is determined. In the event importation of the Goods results in the assessment of a countervailing duty on Buyer as the importer, Seller shall reimburse such countervailing duty to Buyer, provided such reimbursement is permitted under applicable laws and regulations. Seller agrees that the Goods are being sold to Buyer on credit under the terms described on the face of the Purchase Order. If no credit terms are set forth or referenced on the face of the Purchase Order, payment shall be due after delivery of the Goods to Buyer, within 60 days of Buyer’s receipt of Seller’s invoice. person or party issuing the Purchase Order. Unless specified in the Purchase Order or agreed otherwise in writing, all invoicing and payments shall be made in U.S. dollars. Buyer shall have the right (but no duty) to withhold payment for any amounts in dispute. Buyer shall have the right (but no duty) to withhold any payment and apply it to the payment of any obligations of Seller to Buyer arising out of the Purchase Order or any other Purchase Order or agreement between Seller and Buyer. Seller expressly waives and releases any and all claims to any lien upon any Goods owned or purchased by Buyer. The foregoing waiver and release of liens shall not apply to any consensual security interest created under a separate Security Agreement executed by Buyer pursuant to Article 9 of the Uniform Commercial Code. DELIVERY; RISK OF LOSS; EXCESS SHIPMENTS AND DELAYS a. Time is of the essence in the performance of the Purchase Order. In the event of Seller’s delay or failure to perform (except when due to a cause beyond Seller’s reasonable control as outlined above), Seller shall pay to Buyer, upon demand, as liquidated damages and not as a penalty, an amount equal to 1.0% of the contract price of the Goods for every week of delay beyond the delivery date specified on the Purchase Order. b. The Goods shall be suitably packed and prepared for shipment to secure lowest transportation rates (unless a premium method is specified on the face hereof) and to comply with carrier and packaging regulations, including the International Standard for Phytosanitary Measures for wood used in packaging. Unless expressly agreed to by an authorized representative of Buyer, no charges shall be allowed for packing, crating, freight express, or cartage. Buyer may select the mode of transportation, the routing of, and the carrier for the Goods. Exceptions to stated routings and terms must be secured from an authorized representative of Buyer, and Seller shall be liable for excess transportation costs resulting from any deviation from Buyer's instructions. c. Goods shall be delivered by Seller to Buyer's place of business from which the Goods were ordered, unless otherwise specified on the face hereof. Unless Buyer instructs otherwise, shipments with the same ship to address must be combined for the lowest freight rates. Seller shall not send partial shipments unless authorized. d. Unless otherwise agreed in writing, all shipments shall be F.O.B. Buyer’s destination, and risk of loss as to such Goods shall remain with Seller until after the Goods are delivered and all nonconformities are cured or accepted. The party bearing the risk of loss shall be responsible for providing adequate insurance on shipments. e. Buyer's count shall be conclusive, and Buyer shall have no liability for payment for Goods delivered in excess of the quantity specified herein unless Buyer elects to keep such excess, and then Buyer shall be liable only for the price thereof and not any incremental freight expenses. Such excess Goods shall, at Buyer’s option, be subject to rejection by Buyer and redelivery to Seller at Seller's expense. f. If, prior to the time for delivery, Seller has reason to believe that it will be unable to meet its delivery schedule, it shall immediately notify Buyer in writing indicating the cause of delay and the suppliers involved and shall use its best efforts to cure the anticipated delay. Upon receipt of such notice, or upon occurrence of an actual delay, Buyer may, in its sole discretion, (i) direct expedited routing of the Goods, with Seller being responsible for all excess costs, or (ii) cancel the Order by written notice to Seller and purchase substitute Goods elsewhere, with Seller being responsible for all resulting excess costs, including, without limitation, any increase in the price paid for the Goods and any expenses to expedite routing of the substitute Goods. INSPECTION; REJECTION AND REVOCATION OF ACCEPTANCE After receipt of the Goods, Buyer shall have a reasonable time, but not less than 10 days, in which to inspect and accept or reject the Goods, and payment for the Goods shall not constitute acceptance. Buyer reserves the right to reject Goods not conforming to the Purchase Order. Unless specifically agreed otherwise, Rejected Goods shall be returned to Seller for full credit or replacement, at Seller's risk and expense, including transportation costs both ways. Buyer may, at its option, purchase substitute Goods in lieu of the rejected Goods, with Seller being responsible for all resulting excess costs, including, without limitation, any increase in the price paid for the Goods and any expenses to expedite routing of the substitute Goods. Acceptance by Buyer of part of the Goods shall not bind Buyer to accept the remainder. Acceptance of all or a part of the Goods shall not deprive Buyer of the right to revoke acceptance and return any part of the Goods or the right to make a claim for damages because of the failure of the Goods to conform to the Purchase Order by reason of defects or other breach of warranty or by reason of damage caused by improper packing. Buyer shall not be liable to Seller for failure to accept the Goods for causes beyond Buyer's reasonable control. WARRANTIES a. In addition to Seller’s standard warranty on the Goods, Seller warrants, for the longer of either 12 months after Buyer’s final acceptance of Goods or Seller’s standard warranty period, that all Goods shall (i) strictly conform to the terms, conditions, specifications, descriptions, drawings, and data specified herein or furnished herewith; (ii) be of good design, quality, material, and workmanship; (iii) be free from defects in materials and shall be merchantable and fit for their particular purpose; (iv) meet applicable industrial or governmental safety standards; (v) be manufactured and produced in compliance with all applicable laws; and (vi) be free from liens, security interests or encumbrances. 1 b. Seller further warrants that all Goods are free of asbestos and all other hazardous substances and that no claim, demand, or notice has been filed nor any proceeding commenced alleging liability of Seller in connection with the use of asbestos and/or any other hazardous substances relating in any way to the manufacture or sale of the Goods. Seller shall provide a material safety data sheet for each substance containing a toxic substance that is purchased by Buyer from Seller, and Seller shall affix on each container containing toxic substances the chemical name and the appropriate hazard warning for the use and safe handling of the toxic substance. Seller shall provide other material safety data sheets relating to the Goods upon request. c. Seller further warrants that Seller will have title to the Goods and the right to sell such Goods at the time of delivery to Buyer, and that all such Goods shall be new and unused (unless otherwise specified in the Purchase Order) at the time of delivery to Buyer. d. Seller shall also extend to Buyer the warranties or guaranties, if any, given to Seller by any third party manufacturer of component parts and accessories incorporated into the Goods sold hereunder. Seller agrees to use its best efforts and will cooperate with Buyer in enforcing any claims against such third party manufacturer(s) for defects that may occur. e. All warranties shall survive any intermediate or final inspections, delivery, acceptance, or payment by Buyer, and all such warranties shall run to Buyer, its successors, assigns, customers, and users of the Goods. No warranties shall be deemed disclaimed or excluded except in writing signed by an authorized representative of Buyer. Repairs or replacements of defective Goods shall be made by Seller, without cost to Buyer, at any time within the applicable warranty period of the Goods, with any return shipping at Seller’s expense. PATENTS Seller shall protect and indemnify Buyer from and against any loss, cost, damage, or expense arising from infringement or alleged infringement of any patent of the United States or foreign letters patent by any of the Goods, and Seller shall defend or settle at its own expense any suit, action, or proceeding brought against Buyer for such infringement. Furthermore, in the event that Buyer should be enjoined in such suit or proceeding from using any of the Goods, Seller, at its option, shall promptly either (a) secure termination of the injunction and obtain for Buyer the right to use such Goods without any obligation or liability; (b) replace such Goods with non- infringing goods, all at Seller's expense and to Buyer's satisfaction; or (c) remove such Goods at Seller's expense and refund to Buyer the amount paid. The provisions of this paragraph shall not apply to claims, demands, suits, or injunctions directly attributable to Goods manufactured by Seller in accordance with Buyer's specific instructions, specifications, design, or drawings. INDEMNIFICATION Seller shall defend, indemnify and save harmless Buyer from and against any loss, cost, damage, or expense, including but not limited to reasonable attorneys’ fees, suffered or incurred by Buyer, Buyer’s affiliates, and/or their respective directors, officers, employees and agents and/or for which any of them may be liable to any third party, due to, arising from or in connection with, directly or indirectly: a. any and all claims made against Buyer by reason of injury or death to person or damage to property suffered or claimed to have been suffered by any person or entity and caused or alleged to have been caused by defective Goods or by any act or omission of Seller or any of Seller’s subcontractors, employees, or agents; b. any and all damage to Buyer's property, including property occupied or used by or in the care, custody, or control of Seller, caused or alleged to have been caused by defective Goods or by any act or omission of Seller or any of Seller’s subcontractors, employees, or agents; c. any and all claims made against Buyer by reason of injury or death to person or damage to property, howsoever caused or alleged to have been caused, and suffered or claimed to have been suffered by Seller or any of Seller’s subcontractors, employees, or agents; d. liabilities, claims, fines, civil and criminal penalties which arise directly or indirectly out of the failure of Seller to comply with the Insurance and/or Compliance with Law provisions of the Purchase Order; and e. an actual or alleged breach of warranty under the Purchase Order or other actual or alleged breach of the Purchase Order by Seller. In no event shall Seller be required to indemnify Buyer for any injury, death, or loss caused solely by the negligence of Buyer. INSURANCE Seller shall maintain in force standard liability insurance of the type and in such amounts as reasonably satisfactory to Buyer and shall furnish Buyer, at any time upon request, with a certificate of insurance that shall provide for Buyer to receive at least 30 days’ prior written notice of modification, non-renewal, cancellation or termination. NON-WAIVER; CUMULATIVE REMEDIES The failure of Buyer to insist upon strict performance of any terms and conditions hereof, failure or delay to exercise any rights or remedies provided herein or by law, failure to properly notify Seller in the event of breach, the acceptance of or payment for any Goods, or approval of design, shall not release Seller from any of the warranties or obligations and shall not be deemed a waiver of any right of Buyer to insist upon strict performance or of any of its rights or remedies as to the Goods or as to any prior or subsequent default, nor shall any purported oral modification or rescission of the Purchase Order by Buyer operate as a waiver of any of the terms hereof. Any right or remedy of Buyer provided herein is in addition to Buyer's other rights and remedies provided herein or by law. COMPLIANCE WITH LAWS Seller warrants and agrees that it shall comply with all applicable laws, regulations and administrative requirements and not take any action that would subject Buyer penalties under U.S. or foreign laws, regulations or administrative requirements. Seller acknowledges that it has read Buyer’s Global Business Partner Code of Conduct and will comply with all terms thereof. CANCELLATION; TERMINATION OF PURCHASE ORDER a. Buyer reserves the right to cancel any item on the Purchase Order or terminate Seller's performance under the Purchase Order, in whole or in part, by written notice to Seller, whereupon Seller shall terminate its performance on such date of notice and shall terminate all Purchase Orders and subcontracts to the extent they relate to such performance. Seller shall promptly advise Buyer of the quantities of Goods and raw material on hand or purchased prior to termination and of the most favorable disposition that Seller can make thereof. Seller shall comply with Buyer's instructions regarding disposition of Goods and raw materials. Seller shall submit to Buyer in writing notice of its intention to submit claims based on such termination within 15 days from the date of notice of termination, and all such claims shall be made in detail and substantiated by bills, receipts, and similar documents within 30 days thereafter, or such claims shall be waived. Buyer shall pay Seller the Purchase Order price of finished Goods accepted by Buyer and the cost to Seller, excluding profits and losses, of work in process and raw materials relating to the Purchase Order, less the agreed value of any Goods used or sold by Seller with Buyer's consent. Buyer reserves the right to verify such claims at any reasonable time or times by inspecting and auditing the records, facilities, work, or materials of Seller relating to the Purchase Order. Buyer will make no payments for finished work, work in process, or raw materials fabricated or procured by Seller unnecessarily in advance or in excess of Buyer's delivery requirements under the Purchase Order. Notwithstanding the above, payments made under this paragraph shall not exceed the aggregate price specified in the Purchase Order, less any payments made or to be made. Payment provided under this paragraph shall constitute Buyer's only liability in the event the Purchase Order is terminated. b. To the extent the Purchase Order covers Goods normally carried in the inventory of Seller, as distinguished from Goods specially made to Buyer's specifications, Buyer shall have no liability for any termination of the Purchase Order, in whole or in part, prior to actual shipment. For any termination for which the notice thereof is sent to Seller after receipt of Goods by Buyer, liability shall be limited to returning such Goods and reimbursing Seller the direct cost of handling and transportation. BUYER’S PROPERTY; CONFIDENTIALITY; RIGHTS IN INVENTIONS a. Buyer retains title to all information and materials (including, but not limited to, all drawings, designs, specifications, technical data, production or product “know-how”, and/or proprietary information of Buyer, in whatever form or format, furnished to Seller to facilitate performance under the Purchase Order, and the same shall be (i) treated as Buyer's confidential information and held in strict confidence, (ii) used exclusively by Seller to complete the Purchase Order, and (iii) returned to Buyer at its direction or within 5 days after completion, termination, or cancellation of the Purchase Order, along with all copies or reproductions thereof. Seller shall restrict disclosure of such information solely to those of its employees, representatives, agents and subsuppliers who have a need to know for purposes of completing the Purchase Order and shall ensure that each recipient of such information is aware of and is made subject to the obligations to keep such information confidential. b. All property of Buyer furnished or made available to Seller for performance of work under the Purchase Order, including, but not limited to, materials, tools, tooling, special tooling (as defined below), equipment, and replacements thereof, shall remain the property of Buyer, shall be segregated from Seller's property and be individually marked and identified as Buyer's property and shall be promptly returned to Buyer at its written request, or upon termination, cancellation, or completion of the Purchase Order. Seller shall maintain and keep up-to-date a list of all such property and shall furnish the list to Buyer upon request. Such property, including, without limitation, special tooling, shall be used exclusively for performance under the Purchase Order and Seller agrees to: (i) maintain such property in good condition and assume all risks and liability for loss or damage thereto excepting normal wear; (ii) purchase insurance to cover the replacement cost thereof, with the proceeds payable to Buyer, and furnish Buyer evidence of such insurance upon request; (iii) permit inspection of such property by Buyer during normal business hours; (iv) at Buyer's request, furnish detailed statements of such inventory; and (v) fully cooperate and assist Buyer in any effort by it to obtain possession of such property through court proceedings or otherwise. c. Seller agrees to assign to Buyer and not otherwise to make use of any invention, improvement, or discovery, whether or not patentable, which is conceived or reduced to practice in performance of the work under the Purchase Order by any employee of Seller or any person working under Seller's direction. Seller shall cooperate with Buyer to complete such assignment and shall execute all documentation reasonably requested by Buyer to effect the assignment. d. Before commencing work under the Purchase Order, Seller agrees to obtain Buyer’s prior written approval for the purchase of any special tooling, describing in detail in such request each item and its price. Upon completion, cancellation, or termination of the work for which such special tooling is required, Seller shall prepare a list of Goods for which special tooling has been used, together with a detailed listing in a form acceptable to Buyer of the special tooling, including each item’s unamortized cost and fair market value, and shall upon request by Buyer, in its sole discretion, transfer title to the special tooling to Buyer, by written assignment, free and clear of liens and encumbrances, in exchange for the lesser of the tooling’s unamortized cost or fair market value, and shall transfer possession of the special tooling to Buyer, except that Buyer shall be under no obligation to purchase such special tooling. Buyer reserves the right to dispose of special tooling without taking possession thereof and to receive any salvage or resale revenues resulting therefrom. Seller agrees that Buyer shall have the right to enter Seller's premises for the purpose of obtaining possession of any special tooling. e. As used herein, “special tooling” means all patterns, dies, fixtures, molds, jigs, models, gauges, inspection devices, special cutting tools, special test devices, drawings, and templates, and any replacements thereof, which, prior to the date of the Purchase Order, were not owned or used by Seller and which Seller has been or will be required to acquire and use solely for the purpose of furnishing Goods under the Purchase Order. Special tooling does not include tools, capital items, or property owned by or furnished by Buyer. 2	Translation - Slovak SARCLAD VŠEOBECNÉ OBCHODNÉ PODMIENKY PRE NÁKUP TOVARU VŠEOBECNÉ USTANOVENIA a. Vymedzenie použitých pojmov, interpretácia objednávky a práva oboch strán sa budú riadiť a interpretovať v súlade s jednotným obchodným zákonníkom Anglicka. Pojem „Kupujúci“ predstavuje firmu Sarclad [a/alebo ktorúkoľvek z jeho oddelení, dcérskych podnikov a/alebo filiálok]. „Predávajúci“ predstavuje stranu, ktorej je táto objednávka adresovaná alebo jej splnomocniteľa, v prípade ak predajca jedná ako sprostredkovateľ alebo agent. „Objednávka“ predstavuje pripojenú alebo priloženú nákupnú objednávku, obsahujúcu tieto Všeobecné obchodné podmienky pre nákup tovaru, všetky prevádzkové požiadavky a požadované technické údaje uvedené nižšie, všetky výkresy, ukážky a modely vybavené vybranými materiálmi. „Tovar“ predstavuje výrobky, materiály, výkresy, údaje a ďalšie položky alebo služby uvedené v nákupnej objednávke. b. Ak objednávka predstavuje ponuku, považuje sa za prijatú iba za vopred stanovených podmienok určených v tejto objednávke a to vrátane úplného prijatia všeobecných obchodných podmienok. Ak má objednávka predstavovať prijatie ponuky, toto prijatie je bezpodmienečne viazané oficiálnym súhlasom „Predávajúceho“ s podmienkami tejto objednávky, a to vrátane celkového prijatia všeobecných obchodných podmienok, ako aj podmienok doručenia akejkoľvek časti tovaru alebo iný začiatok platnosti objednávky bude predstavovať súhlas. Akýkoľvek dodatočný a/alebo odlišný návrh podmienok zo strany predávajúceho alebo pokus o ich zmenu alebo nedodržanie sa povaruje za zmenu existujúcich vlastností a je predmetom námietky a zamietnutia. c. Kupujúci môže kedykoľvek , formou písomného oznámenia predávajúcemu, vykonať zmeny vo výkresoch, požadovaných vlastnostiach tovaru, množstve, harmonograme dodávok a pokynoch k preprave. Ak dôjde k zmene, zvýšeniu alebo zníženiu nákladov objednávky alebo času na jej vyhotovenie, zmluvné strany sa zaväzujú dohodnúť na primeranej úprave ceny a/alebo času dodania bezodkladne, najneskôr však 10 dni pred doručením tovaru. d. Identifikačné číslo kupujúceho, ako aj číslo objednávky musia byť uvedené na všetkých prepravných dokumentoch , faktúrach, balíkoch alebo prepravkách. e. Ak dôjde zo strany predávajúceho k omeškaniu alebo nedodržaniu podmienok objednávky z dôvodov alebo príčin, ktoré sú mimo jeho kontroly, vrátane požiaru, záplav, zemetrasenia, víchrice, hurikánu, prírodných katastrof, vládneho konania, epidémií, vojny alebo nepokojov, s výnimkou štrajkov alebo sporov týkajúcich sa predávajúceho, lehota na vyhotovenie objednávky sa pre predávajúceho o toto obdobie predĺži; za predpokladu, že predávajúci prijme primerané opatrenia na zmiernenie a minimalizáciu účinku takejto udalosti a pokračovanie v plnení svojich povinností. Kupujúci môže v takomto prípade a podľa vlastného uváženia zrušiť objednávku bez toho, aby kupujúcemu vznikli voči predávajúcemu akékoľvek náklady alebo záväzky. f. Táto objednávka a všetky súvisiace konania sa riadia právnym poriadkom Slovenskej republiky, a to tak, aby neboli dotknuté ustanovenia kolíznych noriem. Pri zistení, že ustanovenie alebo časť ustanovenia objednávky je podla platných zákonov nezákonné, neplatné alebo nevymáhateľné , toto ustanovenie alebo jeho časť sa v rozsahu, v akom je oddeliteľné, považuje za vynechané a neovplyvni zákonnosť, platnosť alebo vykonateľnosť ostatných ustanovení a podmienok týkajúcich sa objednávky. g. Objednávka predstavuje novú a úplnú dohodu medzi stranami a nahrádza všetky predchádzajúce návrhy, ústne a písomné, rokovania, vyhlásenia, záväzky, spisy a všetky ostatné formy komunikácie medzi týmito stranami. Predávajúci nesmie priradiť žiadny zo splatných finančných prostriedkov alebo prác, ktoré sú predmetom objednávky, inému subdodávateľovi bez predošlého písomného súhlasu kupujúceho. h. Všetky spory vyplývajúce z alebo v súvislosti s objednávkou sa vyriešia rokovaním v dobrej viere (a) prostredníctvom informovaných a zodpovedných zástupcov oboch strán, ktorí sú plne oprávnení riešiť takéto spory alebo (b) v prípade, že rokovanie nevyrieši daný spor, predloží sa na konečnú a záväznú arbitráž v Chicagu, Illinois, kde sa spor vyrieši v súlade s príslušnými predpismi Americkej arbitrážnej asociácie. Každý účastník konania znáša svoje vlastné trovy súvisiace s týmto konaním; poplatky arbitráže a rozhodcu si obe strany rozdelia rovnakým dielom. Napriek vyššie uvedenému, každý z účastníkov má právo požadovať dočasné pozastavenie plnenia objednávky alebo príkazu plnenia objednávky, aby vynútil dodržanie požiadaviek zachovania dôvernosti dát alebo žiadal o súhlas s dodržaním daného procesu riešenia sporov. CENA: KREDIT: VZDANIE SA ZABEZPEČOVACIEHO PRÁVA Cena objednávky neprevýši sumu uvedenú v tomto dokumente. Ak cena nie je v objednávke uvedená, tovar sa zaúčtuje na základe ceny, zaplatenej pri poslednej objednávke daného tovaru, prípadne za kótovanú cenu alebo za bežnú trhovú cenu, podľa toho, ktorá z nich je nižšia. Kupujúci je povinný odvádzať federálnu daň z príjmov, daň z príjmov právnických osôb a miestnu daň, ktorú je predávajúci zo zákona povinný od kupujúceho vyberať. Predávajúci nevymeriava a kupujúci nezodpovedá za príplatky akéhokoľvek druhu (vrátane ale nie len, príplatkov za suroviny, pohonné hmoty, prepravu a iné), pokiaľ sa zmluvné strany osobitne nedohodli inak a to písomnou formou s podpisom kupujúceho, v ktorom je uvedená uplatniteľná prirážka a presný postup, akým bola táto prirážka určená. V prípade, že dovoz tovaru má za následok vyčíslenie vyrovnávacieho cla na kupujúceho, ako dovozcu, predajca uhradí toto vyrovnávacie clo za predpokladu, že takáto náhrada je povolená podľa platných zákonov a predpisov. Predávajúci súhlasí s tým, že tovar predáva kupujúcemu za podmienok uvedených na úvodnej strane objednávky. Ak nie sú vopred stanovené a uvedené podmienky platby na úvodnej strane objednávky, platba bude realizovaná v lehote 60 dní od dodania tovaru a faktúry kupujúcemu. Faktúry budú predložené predávajúcim na miesto, uvedené na objednávke a budú obsahovať číslo objednávky, číslo dielu/opis výrobku, jednotkovú cenu a meno osoby alebo strany, ktorá vyhotovila objednávku. Ak nie je v objednávke ani písomnou formou uvedené inak, všetky faktúry a všetky platobné transakcie budú vykonané v amerických dolároch. Kupujúci má právo (ale nie povinnosť) zadržať platbu za akékoľvek sporné sumy. Kupujúci má právo (ale nie povinnosť) zadržať akúkoľvek platbu a použiť prostriedky na zaplatenie akýchkoľvek záväzkov predávajúceho voči kupujúcemu, vyplývajúcich z tejto alebo akejkoľvek inej objednávky alebo dohody medzi týmito stranami. Predávajúci sa výslovne vzdáva všetkých nárokov na zabezpečovacie právo na tovar vo vlastníctve alebo zakúpený kupujúcim. Vyššie uvedené zrieknutie sa nárokov na zabezpečovacie právo sa nevzťahuje na konsenzuálny bezpečnostný podiel vytvorený podľa osobitnej bezpečnostnej dohody, vytvorenej kupujúcim podľa článku 9 jednotného obchodného zákonníka. DORUČENIE: RIZIKO STRATY: NADROZMERNÁ PREPRAVA A OMEŠKANIA a. Čas je pri realizovaní objednávok dôležitým faktorom. V prípade že dôjde k omeškaniu alebo nedodržaniu podmienok objednávky zo strany predajcu (s výnimkou prípadov, kedy dôjde k takejto situácii z dôvodov alebo príčin, ktoré sú mimo jeho kontroly, ako sa uvádza vyššie), predávajúci je povinný na vyžiadanie zaplatiť kupujúcemu náhradu škody z omeškania vo výške 1,0% zo zmluvnej ceny tovaru, za každý týždeň omeškania po dátume dodania uvedenom v objednávke. b. Tovar musí byť vhodne zabalený a pripravený na prepravu, aby sa zabezpečila čo najnižšia prepravná sadzba (pokiaľ nie je v objednávke špecifikovaná prémiová metóda) a v súlade s nariadeniami o balení produktov, vrátane nariadenia Medzinárodnej normy FAO pre fytosanitárne opatrenia pre drevo používané v obaloch. Bez výslovného súhlasu splnomocnenca kupujúceho, nie je povolené účtovať poplatky za balenie, skladovanie, nákladnú dopravu a prepravu. Kupujúci si môže zvoliť spôsob dopravy, smerovanie zásielok a prepravcu. Výnimky k uvedenému smerovaniu a podmienkam musí zabezpečiť autorizovaný splnomocnenec kupujúceho a predávajúci je zodpovedný za nadmerné prepravné náklady vyplývajúce z akejkoľvek odchýlky od týchto pokynov kupujúceho. c. Predávajúci dodá tovar na adresu podnikania kupujúceho, z ktorej bol tovar objednaný, ak v objednávke nie je uvedené inak. Pokiaľ kupujúci neurčí inak, zásielky na adresu musia byť doručené za najnižšie možné prepravné sadzby. Predávajúci bez potvrdenia kupujúceho neodošle predmet objednávky po častiach. d. Pokiaľ nie je písomne stanovené inak, všetky zásielky podliehajú F.O.B. Zodpovednosť za správnosť údajov o mieste dovozu a riziko straty tovaru zostane na predávajúcom až do doby po doručení tovaru a do doriešenia prípadných nezrovnalostí alebo prijatia tovaru kupujúcim. Strana, znášajúca riziko straty, má povinnosť zabezpečiť primerané poistenie zásielok. e. Množstvo uvedené na objednávke kupujúcim, je nezvratné a kupujúci nemá finančný záväzok za tovar doručený nad rámec množstva uvedeného v objednávke, ak kupujúci neuviedol v objednávke inak, a teda ručí uhradiť iba sumu uvedenú v objednávke, bez akýchkoľvek prírastkových nákladov. Tovar doručený kupujúcemu nad rámec množstva uvedeného v objednávke, je predmetom zamietnutia kupujúcim a je vrátený na náklady predávajúceho. f. Ak má predávajúci pred dátumom doručenia dôvod domnievať sa, že nebude možné doručiť tovar v rámci plánu dodávok, bezodkladne túto skutočnosť písomne oznámi kupujúcemu, kde uvedie príčinu omeškania a zodpovedných dodávateľov a vynaloží maximálne úsilie na minimalizáciu predpokladaného omeškania. Po prijatí tohto oznámenia alebo pri skutočnom omeškaní, môže kupujúci podľa vlastného uváženia (i) priamo urýchliť smerovanie tovaru, pričom je predajca zodpovedný za všetky nadmerné náklady alebo (ii) zrušiť objednávku písomným oznámením predávajúcemu a kúpiť náhradný tovar inde, pričom predávajúci je zodpovedný za všetky následné nadmerné náklady, vrátane zvýšenia ceny zaplatenej za tovar alebo náklady na urýchlenie smerovania náhradného tovaru. INŠPEKCIA: ZAMIETNUTIE A ZRUŠENIE PRIJATIA Po prevzatí tovaru má kupujúci primeraný čas, nie menej ako 10 dní, aby tovar skontroloval a následne prijal alebo odmietol, platba za tovar nepredstavuje jeho prijatie. Kupujúci si vyhradzuje právo zamietnuť tovar, ktorý nie je v súlade s objednávkou. Pokiaľ sa výslovne obe strany nedohodnú inak, zamietnutý tovar je vrátený predávajúcemu, s podmienkou predávajúceho vrátiť finančné prostriedky za objednávku kupujúcemu v plnej výške alebo zabezpečiť náhradu tovaru na riziko a náklady predávajúceho vrátane nákladov na prepravu oboma smermi. Kupujúci môže podľa vlastného uváženia zakúpiť náhradný tovar namiesto zamietnutého tovaru, pričom predávajúci je zodpovedný uhradiť všetky následné nadmerné náklady vrátane, a to bez obmedzenia, akéhokoľvek zvýšenia ceny zaplatenej za tovar a nákladov na urýchlenie smerovania náhradného tovaru. Akceptovanie časti tovaru nezaväzuje kupujúceho prevziať zvyšný tovar. Prijatie tovaru alebo jeho časti neodoberá kupujúcemu právo odvolať prijatie a vrátiť ktorúkoľvek časť tovaru predávajúcemu a práva uplatniť si nárok na náhradu škody z dôvodu neschopnosti tovaru vyhovieť podmienkam objednávky, z dôvodu výskytu vád tovaru, iného porušenia záruky alebo z dôvodu poškodenia spôsobeného nesprávnym balením. Kupujúci sa nezodpovedá predávajúcemu, ak je neschopný prevziať tovar z dôvodov alebo príčin, ktoré sú mimo jeho kontroly. ZÁRUKY a. Okrem štandardnej záruky na tovar, predávajúci ručí po dobu 12 mesiacov od prijatia tovaru kupujúcim alebo počas štandardnej záručnej lehoty predávajúceho, že všetok tovar (i) vyhovuje požiadavkám, podmienkam, špecifikáciám, opisu a charakteristikám z výkresovej dokumentácie; (ii) ma vhodný dizajn, kvalitu, materiál a spracovanie; (iii) neobsahujú chyby v materiáloch a sú obchodovateľné a vhodné pre ich konkrétne využitie; (iv) spĺňa príslušné priemyselné alebo vládne bezpečnostné normy; (v) je vyrobený v súlade so všetkými platnými zákonmi a normami; a (vi) nie je zaťažený bremenom a je v súlade so záujmami verejnej bezpečnosti. 1 b. Predávajúci ďalej zaručuje, že tovar neobsahuje azbest a iné nebezpečné látky a že na predávajúceho nebola podaná žiadosť, požiadavka alebo oznámenie a nie je začaté konanie týkajúce sa zodpovednosti predávajúceho v súvislosti s používaním azbestu a/alebo iných nebezpečných látok v predaji, výrobe a produkcii predávajúceho. Predávajúci poskytne kartu bezpečnostných údajov materiálu pre všetky materiály zakúpené kupujúcim obsahujúce toxické látky, a na každej prepravke obsahujúcej toxickú látku vyznačí jej chemický názov, bezpečnostné upozornenie a pokyny pre bezpečnú manipuláciu s danou toxickou látkou. Predávajúci na vyžiadanie poskytne ďalšie karty bezpečnostných údajov materiálov, v súvislosti s daným tovarom. c. Predávajúci sa ďalej zaručuje, že v čase doručenia tovaru kupujúcemu má nárok na tento tovar a právo tovar predávať ako aj to, že tovar je v čase doručenia nový a nepoužitý (pokiaľ nie je v objednávke uvedené inak). d. Predávajúci rozšíri na kupujúceho záruky na produkty alebo garancie, ak nejaké obdržal od tretej strany, napríklad výrobcu súčiastok a príslušenstva zabudovaného do tovaru, ktorý je predmetom tejto objednávky. Predávajúci sa zaväzuje vynaložiť maximálne úsilie pri spolupráci s kupujúcim pri vymáhaní nárokov voči tretej strane v prípade výskytu chýb v ich výrobkoch alebo službách. e. Záruky sú v plnom rozsahu platné počas priebežnej a záverečnej kontroly, pri doručení, prijatí tovaru a platby a musia byť poskytnuté kupujúcemu, jeho nástupcom, zákazníkom a používateľom tovaru. Žiadne záruky sa nepovažujú za zamietnuté alebo vylúčené, s výnimkou písomného súhlasu s podpisom splnomocnenca kupujúceho. Opravu alebo výmenu chybného tovaru vykoná predávajúci na vlastné náklady, kedykoľvek v rámci príslušnej záručnej lehoty. PATENTY Predávajúci sa zaväzuje obhájiť alebo urovnať akúkoľvek žalobu, súdny spor alebo konanie vznesené voči kupujúcemu, iniciované na základe nároku vyplývajúceho zo skutočnosti, že tovar vyrobený spoločnosťami v skupine predajcu a poskytovaný výhradne predávajúcim, podľa tohto dokumentu, priamo porušuje patent evidovaný v spojených štátoch amerických a zaväzuje sa uhradiť náklady a náhradu škody priznanú platným rozsudkom tretej osobe. Okrem toho, v prípade, že príslušný súd vydá súdny príkaz, proti ktorému sa nemožno odvolať, predajca podľa vlastného uváženia (i) zabezpečí kupujúcemu právo pokračovať v používaní daného tovaru, (ii) nahradí daný tovar vhodnou alternatívou, (iii) prijme vrátanie tovaru a nahradí kúpnu cenu. Uvedené stanovuje úplnú zodpovednosť predávajúceho, v prípade akéhokoľvek skutočného alebo údajného porušenia práv duševného vlastníctva. Ustanovenia tohto odseku sa nevzťahujú na nároky, požiadavky, žaloby alebo súdne príkazy priamo priraditeľné tovaru vyrobenému predávajúcim v súlade s konkrétnymi pokynmi, špecifikáciami, návrhom alebo výkresmi kupujúceho. ODŠKODNENIE Predávajúci je povinný chrániť a odškodniť kupujúceho pred stratou, nákladmi, škodami a poplatkami vrátane, ale nie výlučne, primeraných odmien advokátov, ktoré vznikli kupujúcemu, pridruženým kupujúcim a/alebo ich príslušným riaditeľom, zamestnancom a zástupcom voči tretej strane a ktoré vznikli priamo alebo nepriamo: a. akýmkoľvek nárokom voči kupujúcemu v prípade smrti, ublíženia na zdraví alebo škody na majetku, spôsobenej alebo údajne spôsobenej poškodenej osobe alebo subjektu chybným tovarom alebo akýmkoľvek konaním alebo opomenutím predávajúceho alebo ktoréhokoľvek zo subdodávateľov, zamestnancov alebo zástupcov predávajúceho; b. akejkoľvek škody na vlastníctve kupujúceho, vrátane vlastníctva, ktoré je v užívaní, v starostlivosti alebo pod dohľadom predávajúceho, spôsobenej alebo údajne spôsobenej chybným tovarom alebo akýmkoľvek opomenutím predávajúceho alebo ktoréhokoľvek zo subdodávateľov, zamestnancov alebo zástupcov predajcu; c. akéhokoľvek nároku voči kupujúcemu v prípade smrti alebo ublíženia na zdraví alebo škody na majetku, spôsobeného alebo údajne spôsobeného poškodenej osobe alebo subjektu konaním alebo opomenutím predávajúceho alebo ktoréhokoľvek zo subdodávateľov, zamestnancov alebo zástupcov predajcu; d. záväzkov, pohľadávok, pokút, občianskoprávnych a trestných sankcií, ktoré vznikli priamo alebo nepriamo z toho, že predávajúci nedodržal ustanovenia o poistení a/alebo ustanovenia objednávky; a e. skutočných alebo údajných porušení zmluvných podmienok v rámci objednávky alebo iných skutočných alebo údajných porušení objednávky zo strany predajcu. V žiadnom prípade predajca nezodpovedá za škodu, ktorá bola spôsobená konaním kupujúceho alebo nedostatkom jeho súčinnosti. POISTENIE Predávajúci ponechá v platnosti štandardné poistenie zodpovednosti za škodu v takej výške, ktorá je pre kupujúceho primerane uspokojivá a kedykoľvek, na vyžiadanie, poskytne kupujúcemu osvedčenie o poistení, ktoré zabezpečí že kupujúci dostane najmenej 30 dní vopred písomné upozornenie o zmene, neobnovení, zrušení alebo ukončení. UPLATNENIE PRÁV: PROSTRIEDKY NÁPRAVY V záujme optimálneho plnenia zmluvy sú zmluvné strany povinné plniť svoje záväzky riadne a včas tak, aby nedochádzalo k omeškaniu s ich plnením. Pokiaľ sa niektorá zo zmluvných strán dostane do omeškania s plnením svojich záväzkov, je povinná oznámiť druhej zmluvnej strane, bez zbytočného odkladu, dôvod omeškania a predpokladaný termín a spôsob jeho odstránenia. Prijatie finančných prostriedkov za tovar alebo prijatie návrhu neoslobodzuje predajcu od plnenia záväzkov a záručných podmienok a nepredstavuje kupujúceho zrieknutie sa práva trvať na plnení dohodnutých záväzkov, úprav a podmienok objednávky. V prípade, že sa akékoľvek ustanovenie zmluvy stane v akomkoľvek ohľade neplatným, nezákonným alebo nevymáhateľným, nebude tým žiadnym spôsobom dotknutá, alebo porušená platnosť, zákonnosť alebo vymáhateľnosť ostatných ustanovení zmluvy. DODRŽIAVANIE ZÁKONOV Predávajúci zaručuje a súhlasí, že bude jednať v súlade so všetkými platnými zákonmi, predpismi a administratívnymi požiadavkami a nepodnikne žiadne kroky, ktoré by kupujúcemu spôsobili účtovanie sankcií podľa zákonov, predpisov alebo administratívnych požiadaviek USA alebo iných štátov. Predávajúci uznáva, že sa oboznámil s kupujúceho Global Business Partner kódexom správania a bude jednať v súlade so všetkými jeho podmienkami. STORNO: ODSTÚPENIE OD OBJEDNÁVKY a. Kupujúci si vyhradzuje právo písomným oznámením predávajúcemu, zrušiť položku objednávky alebo ukončiť v plnom alebo čiastočnom rozsahu plnenie objednávky, následne po čom predávajúci dňom doručenia tohto oznámenia, ukonči plnenie všetkých objednávok a subdodávok v uvedenom rozsahu. Predávajúci bezodkladne informuje kupujúceho o množstve tovaru a surového materiálu, ktorý má k dispozícii alebo ktorý zakúpil pred ukončením dohody a o jeho najvhodnejšom použití, ktoré je v kompetencii predávajúceho. Predávajúci jedná v súlade s pokynmi kupujúceho ohľadom použitia tovaru a surových materiálov. Predávajúci predloží kupujúcemu písomné oznámenie o svojom zámere predložiť nároky na základe odstúpenia a to do 15 dní odo dňa obdržania písomného oznámenia o zrušení, všetky podrobne rozpísané nároky podložené účtovnými dokladmi, potvrdeniami a podobnými dokladmi musí doručiť do 30 dní, ak tak neučiní predstavuje to jeho neodvolateľný súhlas, že sa zrieka všetkých nárokov. Kupujúci zaplatí predávajúcemu cenu prijatého tovaru a náklady predávajúceho, s výnimkou ziskov a strát za prebiehajúce práce a surové materiály súvisiace s objednávkou, menšie o hodnotu tovaru použitého alebo odpredaného so súhlasom kupujúceho. Kupujúci si vyhradzuje právo overiť takéto nároky v ľubovoľnom primeranom čase a to kontrolou a auditom záznamov, zariadení, práce alebo materiálov predávajúceho, v súvislosti s touto objednávkou. Kupujúci vopred neposkytne žiadne platby za dokončenú prácu, prácu v procese alebo suroviny, vyrobené alebo obstarané predávajúcim alebo nad rámec objednávky. Bez ohľadu na vyššie uvedené, platby uskutočnené podľa tohto odseku nesmú prekročiť celkovú cenu špecifikovanú v objednávke, zníženú o akékoľvek už uskutočnené alebo plánované platby. Platba poskytnutá podľa tohto odseku, predstavuje jediný záväzok kupujúceho, v prípade odstúpenia od objednávky. b. V rozsahu, v ktorom nákupná objednávka zahŕňa tovar, ktorý sa bežne prepravuje v zásobách predávajúceho, odlíšený od tovaru špeciálne vyrobeného podľa špecifikácií kupujúceho, kupujúci nenesie žiadnu zodpovednosť za žiadne celkom alebo čiastočne ukončenie objednávky pred samotným doručením tovaru. V prípade odstúpenia od objednávky, doručenej po prevzatí tovaru kupujúcim, ručenie je limitovane na vrátenie tovaru a náhradu priamych nákladov na manipuláciu a prepravu predávajúceho. PRÁVO DUŠEVNÉHO VLASTNÍCTVA: DÔVERNOSŤ: AUTORSKÉ PRÁVO a. Dizajnové dokumenty, ako napríklad plány a nákresy a ostatné technické špecifikácie, ako aj vzorky, prospekty, obrázky, návrhy a podobné položky, technické know-how a technické prostriedky používané na zhotovenie tovaru, ktoré kupujúci poskytol predávajúcemu, alebo ktoré predávajúci zhotovil na základe technických podkladov poskytnutých kupujúcim, zostanú duševným vlastníctvom kupujúceho. Tieto informácie budú (i) označené za dôverné a bude s nimi zaobchádzané v súlade s požiadavkami dôvernosti. (ii) použité výhradne pre účely objednávky a (iii) vrátené kupujúcemu do 5 dni od dokončenia, vypovedania, alebo zrušenia objednávky, spolu so všetkými zhotovenými kópiami a reprodukciami. Predávajúci obmedzí šírenie týchto informácii výhradne na tieto osoby: svojich zamestnancov, zástupcov, splnomocnencov, agentov a subdodávateľov, ktorí nevyhnutne potrebujú dané informácie za účelom zhotovenia tejto objednávky a u všetkých spomínaných osôb a subjektov sa zaväzuje zabezpečiť ich úplne upovedomenie a porozumenie záväzkov o diskrétnosti týchto informácii. b. Vlastníctvo kupujúceho poskytnuté alebo uvolnené predávajúcemu za účelom uzavretia objednávky alebo výkonu práce v súvislosti s objednávkou vrátane, ale nie obmedzene na, materiály, nástroje, vybavenie, špeciálne vybavenie (ako je definovane nižšie), zariadenia a náhradné diely, zostanú vlastníctvom predávajúceho, a jednotlivo označené a identifikované zostanú oddelené od majetku predávajúceho a budú ihneď po vyžiadaní kupujúcim, pri zrušení alebo dokončení objednávky, vrátené. Predávajúci sa zaväzuje držať aktualizovaný zoznam všetkého vlastníctva kupujúceho a na vyžiadanie ho kupujúcemu sprístupniť. Tento majetok, vrátane špeciálneho vybavenia bude výhradne použitý za účelom vyhotovenia objednávky a predávajúci sa zaväzuje: (I) udržiavať majetok v dobrom stave a predvídať situácie, kedy by mohlo dojsť ku strate alebo poškodeniu, s výnimkou bežného opotrebovania: (ii) zaobstarať poistenie na pokrytie reprodukčných nákladov, kde vyplatená poistná suma bude odovzdaná kupujúcemu, a na vyžiadanie doložiť doklad o poistení: (iii) počas pracovných dní dovoliť kupujúcemu vykonať kontrolu jeho vlastníctva: (iv) na vyžiadanie kupujúceho poskytnúť detailný inventárny súpis: a (v) spolupracovať s kupujúcim pri súdnom alebo mimosúdnom vymáhaní daného vlastníctva. c. Predávajúci sa zaväzuje previesť na kupujúceho a inak nevyužívať akýkoľvek vynález, zdokonalenie alebo objav, patentovateľný alebo nie, použitý jedným zo zamestnancov alebo osobou pod vedením predávajúceho v súlade s vyhotovením objednávky. Predávajúci sa zaväzuje spolupracovať pri takom prevode s kupujúcim a poskytnúť kupujúcemu všetku príslušnú dokumentáciu, ktorú si kupujúci v tejto súvislosti opodstatnene vyžiada. d. Pred začatím prác v súvislosti s objednávkou, predávajúci sa zaväzuje písomne vyžiadať od kupujúceho súhlas s nákupom akéhokoľvek špeciálneho náradia a to formou písomnej žiadosti, v ktorej predávajúci uvedie podrobný opis všetkého náradia a jeho cenu. Po dokončení alebo zrušení prác, pre ktoré sa vyžadovalo použitie tohto špeciálneho náradia, predávajúci pripraví zoznam tovaru na ktorých vyhotovenie bolo použité toto špeciálne náradie, spolu s detailným zoznamom, v akceptovateľnej podobe, všetkého tohto náradia, ceny a objektívnej trhovej hodnoty a na vyžiadanie kupujúceho, podľa jeho vlastného uváženia, písomnou formou prevedie vlastníckeho práva k tomuto náradiu na kupujúceho, oslobodené od zabezpečovacieho práva, výmenou za trhovú hodnotu alebo cenu tohto naradia, ktorákoľvek je nižšia, následne prevedie predávajúci všetky vlastnícke práva na toto náradie na kupujúceho. Kupujúci však v žiadnom prípade nie je povinný špeciálne náradie od predávajúceho odkúpiť. Kupujúci si vyhradzuje právo bez potreby nadobudnutia vlastníckeho práva získať celkový výnos z opätovného predaja. Predávajúci súhlasí s podmienkou, že kupujúci má právo vstúpiť do skladových a prevádzkových priestorov predávajúceho za účelom získania špeciálneho náradia zakúpeného v súvislosti s touto objednávkou. e. Podľa tejto zmluvy, "špeciálne náradie" predstavujú všetky vzory, matrice, upínacie prípravky, formy, modely, meradlá, kontrolné zariadenia, špeciálne rezné nástroje, špeciálne skúšobné zariadenia, výkresy a šablóny a všetky ich náhrady, ktoré predávajúci pred dátumom podpísania objednávky nevlastnil alebo nepoužíval a ktoré predávajúci nadobudol alebo využíval výhradne na účely vybavenia tovaru v súlade s objednávkou. Špeciálne nástroje nezahŕňajú nástroje, kapitálové položky alebo majetok vo vlastníctve alebo zabezpečený kupujúcim. 2

Source text - Slovak VŠEOBECNÉ OBCHODNÉ PODMIENKY 1.Úvodné ustanovenia Tieto obchodné podmienky sa vzťahujú na zmluvy uzatvorené na diaľku v e-shope www.mymegin.sk medzi predávajúcim a kupujúcim podľa zákona č. 102/2014 z. z. o ochrane spotrebiteľa pri predaji tovaru alebo poskytovaní služieb na základe zmluvy uzavretej na diaľku: (ďalej len "predávajúci" alebo „Filip Matoška - Megin co.“ ) Predávajúci prostredníctvom tretej osoby prevádzkuje nákupný web portál/e-shop na stránke www.mymegin.com ( ďalej primerane aj „nákupný portál“ ). Prostredníctvom tohto portálu má tretia osoba ( ďalej „kupujúci“ ) možnosť prezerať si tovar na stránke nákupného portálu. Súčasne za podmienok určených týmito všeobecnými obchodnými podmienkami (ďalej „VOP“ ) a za predpokladu akceptácie objednávky/návrhu kúpnej zmluvy predávajúcim má táto osoba ako kupujúci možnosť zakúpiť ním vybraný tovar. 1.2 Operačné hodiny predávajúceho: bežné pracovné dni pondelok až piatok od 09.00 -16.00 hod. mimo dní pracovného pokoja a sviatkov. Tieto údaje môžu byť kedykoľvek pozmenené alebo aktualizované na www.mymegin.com. 1.3 Tieto VOP upravujú právne vzťahy medzi predávajúcim a kupujúcim, ktorý v súlade a postupom podľa VOP prejaví záujem o kúpu tovaru na internetovej stránke www.mymegin.com. Tieto právne vzťahy medzi predávajúcim a kupujúcim vznikajúce pri kúpe, dodávke tovaru a reklamáciách vád tovaru sa v závislosti od ich obsahu a účastníkov kúpy primerane riadia ustanoveniami príslušných právnych predpisov Slovenskej republiky, najmä Občianskeho zákonníka (zákon č. 40/1964 Zb.) a Obchodného zákonníka (zákon č. 513/1991 Zb.). Tieto VOP upravujú aj povinnosti strán do okamihu uzatvorenia kúpnej zmluvy na základe registrácie osoby kupujúceho. Vzájomné vzťahy predávajúceho a kupujúceho sa riadia aj reklamačným poriadkom pre internetový obchod www.mymegin.com (ďalej len "Reklamačný poriadok") uvedeným v bode 5. VOP. 1.4 Kúpnou zmluvou sa rozumie zmluva medzi predávajúcim a kupujúcim, ktorej predmetom je kúpa tovaru prezentovaného na www.mymegin.com, uzavretá podľa článku 2. a nasl. VOP. 1.5 Ustanovenia VOP a zákona upravujúce práva spotrebiteľa sa nevzťahujú na kupujúceho, ktorý nie je spotrebiteľ podľa zákona č. 250/2007 Z.z., alebo ktorý nakupuje tovar za účelom podnikania a nie za účelom osobnej spotreby. Tejto osobe neprináležia práva spotrebiteľa podľa platných právnych predpisov SR. Zodpovednosť za vady tovaru a vzájomné vzťahy predávajúceho a kupujúceho, ktorý nie je spotrebiteľ sa v tomto prípade riadia ustanoveniami Obchodného zákonníka Slovenskej republiky. 1.6 2. Objednávanie tovaru / kúpna zmluva / úkony pre uzatvorenie zmluvy 2.1. Kúpa tovaru sa realizuje formou vystavenia a odoslania objednávky kupujúcim v nákupnom portáli predávajúceho s tým, že objednávka kupujúceho musí byť odsúhlasená ( akceptovaná ) predávajúcim v súlade s VOP, inak zmluvný vzťah nevznikne. Ak je objednávka akceptovaná predávajúcim postupom podľa VOP, predávajúci dodá objednaný tovar v dodacej lehote podľa čl. 4.1 VOP. Pred odoslaním objednávky kupujúcim sú na nákupnom portáli a vo VOP kupujúcemu oznamované a poskytované informácie podľa osobitných predpisov, najmä podľa § 3 zákona č. 102/2014 Z.z. Kupujúci prejavuje súhlas s týmito podmienkami odkliknutím príslušného políčka pred odoslaním objednávky na portáli. Kupujúci odoslaním objednávky potvrdzuje, že bol oboznámený s tým, že s podaním objednávky a súčasťou objednávky je povinnosť zaplatiť cenu objednaného tovaru. 2.2. Kupujúci si tovar prezerá a vyberá podľa tovarových kategórií uvedených v tovarovom menu, resp. kliknutím na zobrazený tovar. Pri tovare si kupujúci vyberie údaje podľa zverejnených objednávacích informácií a kliknutím na tlačidlo „Vložiť do košíka“ tovar pridá do svojej objednávky. V prípade, že proces výberu tovaru kupujúci ukončil, klikne na tlačidlo „Objednaj s povinnosťou platby“. Inak je oprávnený vrátiť sa k procesu výberu tovarov kliknutím na „Pokračovať v nákupe“. 2.3. Proces tvorby vystavenia objednávky kupujúceho pozostáva zo 4 krokov: a) výber tovaru b) odsúhlasenie všeobecných obchodných podmienok, c) výberu spôsobu platby, dopravy a ceny dopravy, d) odoslanie objednávky kliknutím na tlačidlo „Objednaj s povinnosťou platby“ 2.4. V každom z týchto krokov postupuje kupujúci podľa navigačných inštrukcií. Kupujúci je povinný uviesť úplné, pravdivé a správne údaje nevyhnutné pre správne doručenie tovaru. Kupujúci je povinný odkontrolovať správnosť vybraných dát a údajov v procese objednávania tovaru pred ich definitívnym odoslaním predávajúcemu. 2.5. Výslovne sa vylučuje aplikácia akýchkoľvek iných podmienok kupujúceho uvedených v objednávke, inom dokumente, správe alebo v e-maili kupujúceho, ktoré by boli v rozpore s týmito VOP. 2.6. Objednávka kupujúceho sa považuje za odoslanú, ak bude doručená predávajúcemu a ak bude obsahovať všetky požadované údaje - názov objednávaného tovaru, jeho množstvo, cenu, dodaciu, fakturačnú adresu, e-mailový a telefonický kontakt na kupujúceho. 2.7. Pred zaslaním objednávky predávajúcemu je od kupujúceho vždy vyžadované, aby kupujúci odklikol a potvrdil, že sa oboznámil a súhlasí s platnými VOP predávajúceho, považujúc ich za súčasť zmluvného vzťahu medzi predávajúcim a kupujúcim. Proces vystavenia a zaslania objednávky kupujúcim nie je možné zavŕšiť bez vykonania tohto úkonu. Každej objednávke je pridelené evidenčné číslo. Pri komunikácii s predávajúcim a pri úhrade uvádza kupujúci aj číslo objednávky. 2.8. Kupujúci posiela predávajúcemu objednávku cez nákupný portál. Táto objednávka je návrhom kupujúceho na uzavretie kúpnej zmluvy za zmluvných podmienok podľa týchto VOP. Objednávka je určená pre predávajúceho na prijatie predávajúcim v lehote 15 dní od jej doručenia predávajúcemu. Odoslaním objednávky predávajúcemu cez nákupný portál prejavuje kupujúci vôľu byť viazaný svojou objednávkou počas uvedenej lehoty, kúpiť a prevziať ním vybraný tovar za kúpnu cenu, a to v súlade s podmienkami VOP, a to za predpokladu jej akceptácie predávajúcim. Po doručení objednávky, predávajúci najskôr zašle kupujúcemu notifikačný e-mail, ktorým informuje kupujúceho o tom, že objednávku obdržal a táto je zaradená v systéme predávajúceho. 2.9. Na základe dohody strán a v súlade s VOP je kúpna zmluva medzi stranami uzatvorená, ak predávajúci osobitným e-mailom alebo správou adresovanou kupujúcemu v uvedenej lehote 15 dní od doručenia objednávky, objednávku akceptuje (t.j. prejaví súhlas s objednávkou) postupom podľa týchto VOP. Predávajúci vykoná akceptáciu objednávky kupujúceho zaslaním e-mailu alebo správy kupujúcemu. V akceptačnom e-maili predávajúceho bude uvedená skutočnosť akceptácie objednávky kupujúceho, prípadne aj skutočnosť expedície tovaru (pre VOP ďalej primerane „akceptácia objednávky“). Akceptáciou objednávky je medzi stranami uzatvorená kúpna zmluva. Predávajúci je na základe dohody strán a týchto VOP povinný akceptovanú objednávku splniť v lehote podľa čl. 4.1 VOP. 2.10. Zmena v objednávke/podmienkach: ak predávajúci nebude schopný odsúhlasiť - akceptovať objednávku kupujúceho v celom rozsahu ( napr. 1 z 4 položiek nebude dostupná ) alebo ak navrhne jej zmenu alebo zmenu podmienok dodania z iných dôvodov, kupujúci bude o tejto skutočnosti informovaný e-mailom alebo iným vhodným spôsobom. Súčasne bude požiadaný o vyjadrenie súhlasu, resp. nesúhlasu so zmenou. Kupujúci je povinný vyjadriť súhlas, resp. nesúhlas v lehote 2 dní odo dňa oznámenia navrhovanej zmeny. Po túto dobu budú dostupné položky z objednávky kupujúceho rezervované pre kupujúceho. Až akceptáciou (odsúhlasením) predávajúcim navrhovanej zmeny v objednávke zo strany kupujúceho, vznikne medzi stranami zmluvný vzťah. V prípade ak kupujúci neodsúhlasí zmenu v uvedenej lehote uvedeným spôsobom, objednávka kupujúceho sa márnym uplynutím uvedenej lehoty považuje za zrušenú v celom rozsahu a návrh predávajúceho na zmenu za neakceptovaný kupujúcim. 2.11. Kúpna zmluva medzi predávajúcim a kupujúcim je uzavretá akceptáciou objednávky kupujúceho predávajúcim alebo akceptáciou zmeny objednávky navrhnutej predávajúcim a vykonanej kupujúcim. Z kúpnej zmluvy vznikne predávajúcemu povinnosť predmet kúpy kupujúcemu odovzdať a plniť povinnosti podľa VOP. Kupujúcemu vznikne z uzatvorenej zmluvy povinnosť predmet kúpy prevziať, zaplatiť zaň predávajúcemu dohodnutú cenu a plniť povinnosti podľa zmluvy a VOP. Predávajúci splní akceptovanú objednávku v lehote podľa čl. 4.1 VOP. 2.12. V osobitných prípadoch a pred odoslaním akceptácie si predávajúci vyhradzuje právo vyžiadať si od kupujúceho dodanie ďalších potrebných podkladov, údajov, prípadne vykonať overenie správnosti osobných údajov, e-mailovej adresy alebo telefónneho čísla kupujúceho. Predávajúci je vždy oprávnený v závislosti od charakteru objednávky kupujúceho požiadať kupujúceho o dodatočnú autorizáciu objednávky alebo totožnosti kupujúceho vhodným spôsobom, ako napríklad v písomnej forme, e-mailom, sms alebo telefonicky. Ak kupujúci nevykoná dodatočnú autorizáciu predávajúcim požadovaným spôsobom a v predávajúcim požadovanej lehote, márnym uplynutím tejto lehoty sa objednávka (pred jej akceptáciou) alebo kúpna zmluva (po akceptácii) zrušuje od začiatku. 2.13. Ak predávajúci pred alebo po uzatvorení zmluvy zistí tlačovú, systémovú, ľudskú, dodávateľskú alebo inú chybu ohľadne tovaru, jeho ceny, dostupnosti, množstva alebo možností jeho dodania, ako aj v prípade vypredania zásob, nedostupnosti tovaru, alebo ak nie je schopný dodať tovar kupujúcemu v dohodnutej lehote, alebo v cene uvedenej v internetovom obchode, alebo z dôvodov vyššej moci, o tejto skutočnosti bude informovať kupujúceho. Predávajúci i kupujúci je v ktoromkoľvek z týchto mimoriadnych prípadov oprávnený pred uzatvorením zmluvy svoju objednávku odvolať/zrušiť (kupujúci), resp. ju odmietnuť (predávajúci). Ak nastane takáto mimoriadna okolnosť po uzatvorení zmluvy, predávajúci je oprávnený odstúpiť od zmluvy do okamihu dodania tovaru kupujúcemu. Kupujúci je taktiež v uvedenom prípade výskytu tejto mimoriadnej oznámenej okolnosti oprávnený odstúpiť od kúpnej zmluvy v súlade s VOP a právnymi predpismi SR. Ak kupujúci už zaplatil kúpnu cenu, táto mu bude vrátená v súlade s právnymi predpismi SR a VOP. Predávajúci je oprávnený jednostranne odstúpiť od zmluvy a/alebo nevydať tovar kupujúcemu aj v prípade ak zistí, že mu v komunikácii boli uvedené alebo poskytnuté nesprávne, neúplné alebo nepravdivé údaje ohľadne kupujúceho, osoby preberajúcej tovar alebo ak hrozí, že v dôsledku správania osoby, s ktorou predávajúci komunikoval môže dôjsť k vzniku škody na strane predávajúceho ( napr. podvodné konanie ). 2.14. Kupujúci je oprávnený jednostranne odstúpiť od zmluvy aj pred začatím plynutia lehoty na odstúpenie od zmluvy. Predávajúci na webovej stránke: www.mymegin.sk zverejňuje aj Poučenie o uplatnení práva kupujúceho (spotrebiteľa) na odstúpenie od zmluvy, ako aj Vzorový formulár pre kupujúceho (spotrebiteľa) na odstúpenie od zmluvy. Predávajúci pri uzavretí zmluvy poskytuje kupujúcemu (spotrebiteľovi) Poučenie o uplatnení práva kupujúceho (spotrebiteľa) na odstúpenie od zmluvy a Vzorový formulár na odstúpenie kupujúceho (spotrebiteľa) od zmluvy, pričom tieto dokumenty spolu s týmito VOP posiela elektronicky (e-mailom) kupujúcemu. 2.15. Kupujúci ani predávajúci nie je oprávnený postúpiť pohľadávku zo vzájomných vzťahov na tretiu osobu. 3. Kúpna cena a platobné podmienky 3.1. Kupujúci je povinný zaplatiť predávajúcemu za tovar kúpnu cenu a cenu prepravy podľa predávajúcim akceptovanej objednávky (uzatvorenej zmluvy). Pri tvorení objednávky sú tieto položky uvedené taktiež sumárne (súčet ceny tovaru a prepravy ). Cena tovaru na portáli je uvedená s DPH, pokiaľ nie je uvedené, že ide o cenu bez DPH. DPH je pri dodaní tovaru a služieb uplatňovaná v súlade s právnymi predpismi SR. 3.2. V kúpnej cene tovaru nie sú zahrnuté poplatky bánk za vykonanie úhrady kúpnej ceny, náklady na prepravu tovaru, náklady dobierky, náklady doručovania zakúpeného tovaru podľa bodu 4. VOP, náklady na použitie elektronických prostriedkov na komunikáciu. Tieto poplatky a náklady je povinný zaplatiť kupujúci, ak ďalej nie je uvedené inak. Pri platbe zo zahraničia je kupujúci ako príkazca platby povinný znášať poplatky svojej banky a ostatné poplatky, najmä korešpondenčných bánk a banky príjemcu. 3.3. Cena sa môže zmeniť z dôvodov zjavnej tlačovej či inej chyby týkajúcej sa ceny tovaru zistenej v systéme predávajúceho alebo zverejnenej na nákupnom portáli pri tovare. Kupujúci i predávajúci je oprávnený zrušiť objednávku, resp. odstúpiť od kúpnej zmluvy, ak je kupujúcemu oznámená zmena kúpnej ceny niektorej položky v dôsledku zjavnej tlačovej, či inej chyby týkajúcej sa ceny tovaru. 3.4. Spôsob zaplatenia kúpnej ceny, nákladov dopravy tovaru (spôsob platenia volí kupujúci v procese objednávania tovaru na nákupnom portáli a je uvedený v objednávke s vyčíslením nákladov ): • bezhotovostne úhradou na účet predávajúceho v momente vytvárania objednávky – kúpna cena a náklady prepravy tovaru sú uvedené v rámci vytvárania objednávky • bezhotovostne prostredníctvom služby PayPal Pri platení je ako variabilný symbol nutné uviesť číslo objednávky kupujúceho. Kupujúcim nesprávne uvedený variabilný symbol pri platbe má za následok nesprávne zúčtovanie kúpnej ceny a kupujúci nesie všetky riziká s tým spojené a kupujúci je v omeškaní s plnením povinnosti zaplatiť. 3.5. Splatnosť kúpnej cenypri bezhotovostnej platbe na účet predávajúceho je kupujúci povinný zaplatiť predávajúcemu kúpnu cenu najneskôr do 3 dní odo dňa uzatvorenia zmluvy a pred prevzatím tovaru spôsobom podľa čl. 3. VOP; kupujúci je oprávnený zaplatiť už pri vystavení a odoslaní objednávky predávajúcemu s tým, že platba je vnímaná ako preddavok na kúpnu cenu a nákladov dopravy tovaru, avšak kupujúcemu sa odporúča, aby platil až po akceptácii objednávky predávajúcim (uzatvorení zmluvy), 3.6. Poplatky bánk za vykonanie úhrady kúpnej ceny a nákladov dopravy kupujúcim sa riadia zmluvou medzi kupujúcim a bankou kupujúceho. Kupujúci je upozorňovaný, že informácie o nákladoch prepravy tovaru sú jednoznačne uvedené v procese objednávania tovaru a závisia od výberu dopravcu/doručovacej služby/spôsobu doručenia. Náklady na použitie elektronických prostriedkov komunikácie sa riadia zmluvou medzi kupujúcim a jeho poskytovateľom internetového pripojenia, prípadne jeho poskytovateľom služieb elektronickej komunikácie. 3.7. Predávajúci vystaví a doručí faktúru kupujúcemu v súlade s platnými zákonmi SR. Kupujúci zaslaním objednávky súhlasí s tým, aby faktúra bola poslaná spolu s tovarom alebo sprístupnená kupujúcemu elektronicky. Faktúra je posielaná spolu s tovarom a faktúra je súčasne aj dodacím listom a záručným listom, ak nie je doručovaný osobitný záručný list. Osobitný doručovaný záručný list môže byť predávajúcim potvrdený na základe žiadosti kupujúceho. 3.8. Pri odstúpení od uzatvorenej zmluvy sa postupuje v súlade s právnymi predpismi SR a VOP. Ak bola kúpna cena zaplatená pred uzatvorením zmluvy a zmluva nie je uzatvorená ani do 15 dní od doručenia objednávky kupujúceho, kúpna cena bude vrátená kupujúcemu najneskôr do 30 dní odo dňa doručenia objednávky kupujúceho alebo do 14 dní odo dňa od odmietnutia objednávky alebo odvolania objednávky, a to podľa toho, ktorý z týchto dátumov nastane skôr. Vrátenie kúpnej ceny sa vykoná na ten účet, z ktorého bola platba prijatá, resp. iným spôsobom na základe dohody strán. Pred vrátením zaplatenej ceny je v prípade pochybností predávajúci oprávnený od kupujúceho požadovať preukázanie skutočnosti, že je majiteľom účtu a/alebo oprávnenosti prijatia peňažných prostriedkov. Ak je predávajúci povinný vrátiť kupujúcemu kúpnu cenu a tovar bol už doručovaný kupujúcemu, predávajúci vráti kupujúcemu kúpnu cenu až po vrátení tovaru predávajúcemu. 4. Dodanie tovaru, dodacie podmienky a náklady na dodanie tovaru 4.1. Predávajúci dodá tovar kupujúcemu v lehote 15 dní odo dňa kedy bola medzi predávajúcim a kupujúcim uzatvorená zmluva postupom podľa týchto VOP. Predávajúci dodá tovar kupujúcemu na adresu ním uvedenú pri vystavení objednávky a výlučne osobe, ktorá je uvedená ako kupujúci. Z tohto dôvodu je nevyhnutné, aby kupujúci uviedol správne svoje identifikačné údaje pri objednávaní tovaru a údaje pre dodanie tovaru. Ak to okolnosti vyžadujú, predávajúci a kupujúci sa môžu dohodnúť na predĺžení dodacej lehoty, alebo na náhradnom plnení v rovnakej kvalite a cene. Cena prepravných služieb: V rámci Slovenska V rámci Európskej únie Euro I Euro II Euro III Euro IV 3,00 € 7,00 € 11,00 € 15,00 € 24,00 € Zóny v rámci Európy Euro I Česká republika, Maďarsko Euro II Chorvátsko, Polsko, Nemecko, Rakúsko, Rumunsko, Slovinsko Euro III Belgicko, Bulharsko, Dánsko, Francúzsko, Holandsko, Lichtenštainsko, Litva, Lotyšsko, Luxembursko, Veľká Británia Euro IV Estónsko, Fínsko, Írsko, Portugalsko, Španielsko, Švédsko, Taliansko, Vatikán, V procese vytvárania objednávky sa kupujúcemu zobrazí konkrétna cena prepravných služieb podľa vyššie uvedenej tabuľky, a to na základe toho, do ktorej krajiny má byť tovar doručovaný. 4.2. Vydanie tovaru kupujúcemu je možné len ak je zaplatená kúpna cena a cena prepravy za dodávaný tovar. V opačnom prípade je predávajúci, resp. dopravca/doručovateľ oprávnený nevydať tovar a predávajúci nie je v omeškaní s dodaním tovaru. Kupujúci je povinný od prepravcu/doručovateľa riadne prevziať tovar v rozsahu predávajúcim akceptovanej objednávky. Kupujúci nadobúda vlastníctvo k tovaru až po zaplatení kúpnej ceny tovaru, ceny prepravy a následnom prevzatí tovaru. 4.3. Spôsob dodania tovaru volí kupujúci na nákupnom portále, a to v procese objednávania tovaru z predávajúcim ponúkaných možností. V zásade je možné dodanie tovaru špedičnou spoločnosťou alebo prostredníctvom poštového podniku a cena prepravy je uvedená v objednávke. 4.4. V určitých prípadoch je predávajúci oprávnený pozmeniť kupujúcim vybraný spôsob prepravy tovaru na iný ponúkaný spôsob prepravy pred akceptáciou objednávky. V tomto prípade bude kupujúci o tejto skutočnosti písomne informovaný, bude mu navrhnutá zmena objednávky, podmienok zmluvy podľa čl. 2 VOP a bude informovaný o zmene nákladov na dopravu. Zmena nákladov dopravy v dôsledku zmeny spôsobu prepravy nebude v neprospech kupujúceho. 4.5. Kupujúci je upozornený, že predávajúci je oprávnený dodať tovar aj viacerými samostatnými dodávkami s tým, že aj pre takéto samostatné dodania tovaru platí cena prepravy ako pri akceptácii objednávky ( t.j. viac prepráv je účtovaných len za cenu jednej prepravy ). 4.6. Predávajúci, prepravná spoločnosť alebo zásielková služba je oprávnená avizovať dodávku tovaru kupujúcemu e-mailom, sms správou alebo inou vhodnou formou (napr. telefonicky). Kupujúci súhlasí s tým, aby predávajúci poskytol tieto údaje kupujúceho prepravnej/špedičnej spoločnosti alebo doručovateľovi. Kupujúci je povinný byť zastihnuteľný na ním uvedenej adrese v čase oznámeného dodania tovaru. 4.7. Pri prevzatí tovaru je kupujúci povinný bez vyzvania preukázať dopravcovi svoju totožnosť prostredníctvom platných dokladov totožnosti (napr. občiansky preukaz ). Z týchto dokladov musí byť zrejmá totožnosť kupujúceho a oprávnenie k prevzatiu tovaru. V opačnom prípade nemusí byť tovar odovzdaný zo strany predávajúceho/prepravcu. 4.8. Ak kupujúci neoprávnene odmietne prevziať tovar alebo ho opakovane neoprávnene neprevezme, je predávajúci oprávnený si voči nemu uplatniť všetky náklady, ktoré mu v tejto súvislosti vznikli. 4.9. Predávajúci je oprávnený jednostranne a podľa vlastného uváženia interne určiť hodnotu objednávky, pri ktorej kupujúci už neplatí cenu prepravy tovaru. Skutočnosť platenia alebo neplatenia ceny prepravy kupujúcim sa zobrazí v objednávke na stránke www.mymegin.com. Predávajúci je oprávnený jednostranne bez nutnosti uvádzania zmeny v týchto VOP meniť a upravovať hodnotu objednávky (uzatvorenej zmluvy), pri ktorej kupujúci neplatí cenu prepravy. Na uzatvorené zmluvy táto zmena nemá vplyv. 4.10. Pri prevzatí tovaru je kupujúci povinný odkontrolovať neporušenosť obalu a kompletnosť dodávky, najmä počet transportných balení (balíkov/zásielok). V prípade akýchkoľvek zjavných vád zistených v súvislosti s prepravou a tovarom je kupujúci povinný tieto bezodkladne, najneskôr do 24 hodín oznámiť dopravcovi i predávajúcemu. Kupujúci je povinný na prepravnom dokumente vyznačiť všetky zjavné poškodenia zásielky a porušenosť obalu. Ak je transportné balenie poškodené, alebo je zistené zjavné narušenie obalu balenia, či zásielky, resp. je zrejmé, že ide o neoprávnene otvorenú zásielku, je kupujúci povinný zásielku od prepravcu/doručovateľa neprevziať. Podpisom preberacieho protokolu kupujúci potvrdzuje, že zásielka bola prevzatá neporušená. Ak kupujúci nevznesie námietky k nedoručeniu tovaru a nedoručeniu dokladov dodávaných s tovarom v lehote 24 hodín od dodania tovaru, na základe potvrdených dodacích a prepravných listov sa predpokladá, že tovar bol kupujúcemu dodaný riadne, ak sa dôkazne nepreukáže opak. 4.11. Poškodenie tovaru oznámi kupujúci predávajúcemu formou e-mailu alebo iným vhodným spôsobom. Na dodatočné nahlásenie mechanických poškodení zistiteľných pri prevzatí tovaru nie je možné brať ohľad a tieto nebudú uznané. 4.12. Predávajúci bude bezodkladne informovať kupujúceho o nemožnosti dodania tovaru, ako aj v prípadoch vyššej moci alebo dôvodoch, za ktoré predávajúci alebo dopravca/doručovateľ nezodpovedá. 5. Záruka, reklamačné podmienky a reklamačný poriadok 5.1. Ustanovenia tohto bodu sa nevzťahujú na kupujúceho, ktorý nie je spotrebiteľ, alebo osoby, ktoré nakupujú tovar za účelom podnikania a nie za účelom osobnej spotreby fyzických osôb; zodpovednosť za vady tovaru sa v tomto prípade riadi ustanoveniami § 422 a nasl. Obchodného zákonníka. Predávajúci vybavuje spotrebiteľské reklamácie v súlade s právnymi predpismi Slovenskej republiky, najmä zákonom č. 250/2007 Z.z. v platnom znení, Občianskym zákonníkom a ostatnými platnými právnymi predpismi SR. 5.2. Pri všetkých tovaroch kupovaných na základe občianskoprávnych vzťahov je záručná doba v súlade s právnymi predpismi Slovenskej republiky 24 mesiacov, ak právne predpisy SR neustanovujú kratšiu dobu pre určité druhy tovaru. Záručná doba začína plynúť odo dňa prevzatia tovaru kupujúcim. Predávajúci zodpovedá kupujúcemu (spotrebiteľovi) za vady tovaru podľa platných právnych predpisov SR. 5.3. Trvanie záručnej doby vyplýva z právnych predpisov Slovenskej republiky. Ak je na predávanej veci, jej obale alebo návode k nej pripojenom vyznačená lehota na použitie, neskončí sa záručná doba pred uplynutím tejto lehoty. 5.4. Záruka sa nevzťahuje na vady a poškodenia vzniknuté: v súvislosti s bežným opotrebením, konaním kupujúceho alebo tretej osoby po prevzatí tovaru kupujúcim, neodborným, nešetrným zaobchádzaním, nadmernou záťažou, mechanickým poškodením alebo opotrebovaním, použitím tovaru v rozpore s jeho návodom alebo účelom použitia alebo nedodržaním pravidiel používania, údržby alebo skladovania. 5.5. Kupujúcemu zaniká záruka aj v prípade ak bol je preukázateľne vykonaný zásah do tovaru zo strany kupujúceho. 5.6. Kupujúci môže uplatniť reklamáciu: e-mailom a postupom, ktorý je uverejnený na webovej stránke predávajúceho – www.mymegin.sk, alebo písomne na adrese predávajúceho: Filip Matoška - Megin co., Podhlinie 4531/36, 017 01 Považská Bystrica, Slovenská republika. 5.7. K reklamovanému tovaru priloží kupujúci čitateľný originál alebo kópiu dokladu o kúpe tovaru a podrobne uvedie popis vady a spôsob akým sa vada navonok prejavuje. Tovar má byť doručený v čistom stave a s príslušenstvom dodávaným s tovarom. 5.8. Predávajúci pri uplatnení reklamácie vydá kupujúcemu (spotrebiteľovi) potvrdenie. Posúdenie reklamácie bez predloženia tovaru alebo bez predloženia kópie dokladu o kúpe nie je možné. 5.9. Reklamáciu je možné vybaviť v prípade preukázania nasledujúcich skutočností: (i) vada tovaru sa vyskytla v záručnej dobe (za účelom preukázania tejto skutočnosti je kupujúci povinný predložiť doklad o kúpe tovaru); (ii) preukázanie, že tovar bol kupujúcim zakúpený u predávajúceho a za akú cenu (za týmto účelom je kupujúci povinný predložiť platný doklad o kúpe tovaru); (iii) tovar má vadu (za týmto účelom je kupujúci povinný doručiť vadný tovar na korešpondenčnú adresu predávajúceho. V prípade, ak nebude splnená ktorákoľvek z vyššie uvedených podmienok zo strany kupujúceho, je predávajúci oprávnený reklamáciu tovaru neuznať ako oprávnenú. 5.10. Ak ide o vadu, ktorú možno odstrániť, má kupujúci právo, aby bola bezplatne, včas a riadne odstránená. Predávajúci je povinný vadu bez zbytočného odkladu odstrániť. Kupujúci môže namiesto odstránenia vady požadovať výmenu veci, alebo ak sa vada týka len súčasti veci, výmenu súčasti, ak tým predávajúcemu nevzniknú neprimerané náklady vzhľadom na cenu tovaru alebo závažnosť vady. Predávajúci môže vždy namiesto odstránenia vady vymeniť vadnú vec za bezvadnú, ak to kupujúcemu nespôsobí závažné ťažkosti. Ak ide o vadu, ktorú nemožno odstrániť a ktorá bráni tomu, aby sa vec mohla riadne užívať ako vec bez vady, má kupujúci právo na výmenu veci alebo má právo od zmluvy odstúpiť. Tie isté práva prislúchajú kupujúcemu, ak ide síce o odstrániteľné vady, ak však kupujúci nemôže pre opätovné vyskytnutie sa vady po oprave alebo pre väčší počet vád vec riadne užívať. 5.11. Pri uplatnení reklamácie predávajúci určí spôsob vybavenia reklamácie ihneď alebo v zložitých prípadoch najneskôr do 3 pracovných dní odo dňa uplatnenia reklamácie, v odôvodnených prípadoch, najmä ak sa vyžaduje zložité technické zhodnotenie stavu výrobku alebo služby, najneskôr do 30 dní odo dňa uplatnenia reklamácie. Po určení spôsobu vybavenia reklamácie sa reklamácia vybaví ihneď, v odôvodnených prípadoch možno reklamáciu vybaviť aj neskôr; vybavenie reklamácie však nesmie trvať dlhšie ako 30 dní odo dňa uplatnenia reklamácie. Po uplynutí lehoty na vybavenie reklamácie má kupujúci právo od zmluvy odstúpiť alebo má právo na výmenu výrobku za nový výrobok. 5.12. Ak kupujúci (spotrebiteľ) reklamáciu výrobku uplatnil počas prvých 12 mesiacov od kúpy, môže predávajúci vybaviť reklamáciu zamietnutím len na základe odborného posúdenia; bez ohľadu na výsledok odborného posúdenia nemožno od kupujúceho (spotrebiteľa) vyžadovať úhradu nákladov na odborné posúdenie ani iné náklady súvisiace s odborným posúdením. Predávajúci je povinný poskytnúť kupujúcemu (spotrebiteľovi) kópiu odborného posúdenia odôvodňujúceho zamietnutie reklamácie najneskôr do 14 dní odo dňa vybavenia reklamácie. Ak kupujúci (spotrebiteľ) reklamáciu výrobku uplatnil po 12 mesiacoch od kúpy a predávajúci ju zamietol, osoba, ktorá reklamáciu vybavila, je povinná v doklade o vybavení reklamácie uviesť, komu môže kupujúci (spotrebiteľ) zaslať výrobok na odborné posúdenie. Ak je výrobok zaslaný na odborné posúdenie určenej osobe, náklady odborného posúdenia, ako aj všetky ostatné s tým súvisiace účelne vynaložené náklady znáša predávajúci bez ohľadu na výsledok odborného posúdenia. Ak kupujúci (spotrebiteľ) odborným posúdením preukáže zodpovednosť predávajúceho za vadu, môže reklamáciu uplatniť znova; počas vykonávania odborného posúdenia záručná doba neplynie. Predávajúci je povinný kupujúcemu (spotrebiteľovi) uhradiť do 14 dní odo dňa znova uplatnenia reklamácie všetky náklady vynaložené na odborné posúdenie, ako aj všetky s tým súvisiace účelne vynaložené náklady. Znova uplatnenú reklamáciu nemožno zamietnuť. 5.13. Ak si kupujúci neprevezme tovar ani do 30 dní po vybavení reklamácie, alebo do 30 dní od dňa opakovaného doručovania tovaru kupujúcemu, alebo si ho neprevezme v rovnakej lehote od odoslania výzvy predávajúceho po ukončení reklamačného konania na kontaktnú adresu poskytnutú kupujúcim, predávajúci je oprávnený požadovať od kupujúceho plnenie vo výške 1,00 EUR za každý deň uskladnenia tovaru. 5.14. Kupujúci, ktorý má postavenie spotrebiteľa – má právo obrátiť sa na predávajúceho so žiadosťou o nápravu (e-mailom na – [email protected]), ak nie je spokojný so spôsobom, ktorým predávajúci vybavil jeho reklamáciu, alebo ak sa domnieva, že predávajúci porušil jeho práva. Ak predávajúci odpovie na túto žiadosť zamietavo, alebo na ňu neodpovie do 30 dní od jej odoslania, kupujúci (spotrebiteľ) má právo podať návrh na začatie alternatívneho riešenia sporu subjektu alternatívneho riešenia sporov (ďalej len subjekt ARS) podľa zákona 391/2015 Z.z. ARS subjektami sú orgány a oprávnené právnické osoby podľa § 3 zákona 391/2015 Z.z. Návrh môže kupujúci (spotrebiteľ) podať spôsobom určeným podľa §12 Zákona 391/2015 Z.z. Kupujúci (spotrebiteľ) môže podať sťažnosť aj prostredníctvom platformy alternatívneho riešenia sporov RSO, ktorá je dostupná online na: https://ec.europa.eu/consumers/odr/main/index.cfm?event=main.home.chooseLanguage. Alternatívne riešenie sporov môže využiť len spotrebiteľ – fyzická osoba, ktorá pri uzatváraní a plnení spotrebiteľskej zmluvy nekoná v rámci predmetu svojej podnikateľskej činnosti, zamestnania alebo povolania. Alternatívne riešenie sporov sa týka len sporu medzi spotrebiteľom a predávajúcim, vyplývajúceho zo spotrebiteľskej zmluvy alebo súvisiaceho so spotrebiteľskou zmluvou. Alternatívne riešenie sporov sa týka len zmlúv uzatvorených na diaľku. Alternatívne riešenie sporov sa netýka sporov, kde hodnota sporu neprevyšuje sumu 20 EUR. Subjekt ARS môže od spotrebiteľa požadovať úhradu poplatku za začatie alternatívneho riešenia sporu maximálne do výšky 5 EUR s DPH. 6. Vrátenie tovaru - odstúpenie od zmluvy 6.1. Kupujúci (spotrebiteľ) má právo odstúpiť od zmluvy bez uvedenia dôvodu v lehote 14 dní. Ak sa tovary dodávajú oddelene, lehota na odstúpenie od zmluvy uplynie po 14 dňoch odo dňa keď kupujúci (spotrebiteľ), alebo ním určená osoba s výnimkou dopravcu prevezme tovar, ktorý bol dodaný ako posledný. Pri uplatnení práva na odstúpenie od zmluvy kupujúci (spotrebiteľ) informujte predávajúceho o svojom rozhodnutí odstúpiť od tejto zmluvy jednoznačným vyhlásením (napríklad listom zaslaným poštou) na adresu: Filip Matoška - Megin co., Podhlinie 4531/36, 017 01 Považská Bystrica, Slovenská republika. Na tento účel môže kupujúci (spotrebiteľ) použiť vzorový formulár na odstúpenie od zmluvy, ktorý bol kupujúcemu zaslaný, alebo ktorý je sprístupnený na webom sídle /nákupnom portáli predávajúceho. Lehota na odstúpenie od zmluvy je zachovaná, ak kupujúci (spotrebiteľ) zašle oznámenie o uplatnení práva na odstúpenie od zmluvy pred tým, ako uplynie lehota na odstúpenie od zmluvy. Bližšie podmienky sú upravené v zákone č. 102/2014 Z.z. Po odstúpení od zmluvy predávajúci vráti kupujúcemu (spotrebiteľovi) všetky platby, ktoré je predávajúci povinný vrátiť podľa právnych predpisov. Platba za zakúpený tovar bude uhradená kupujúcemu až po doručení vráteného tovaru späť na adresu sídla predávajúceho. Tovar musí byť doručený späť na adresu Filip Matoška - Megin co., Podhlinie 4531/36, 017 01 Považská Bystrica, Slovenská republika, najneskôr do 14 dní odo dňa uplatnenia práva na odstúpenie od zmluvy. Priame náklady na vrátenie tovaru znáša kupujúci. Kupujúci má po doručení tovaru možnosť odskúšať jeho funkčnosť, nemôže však tovar používať, ak odstupuje od zmluvy. Na účely zistenia povahy, charakteristík a funkčnosti tovaru by mal kupujúci s tovarom manipulovať a skontrolovať ho len takým spôsobom, akým by mu to bolo umožnené v „kamennom“ obchode. Od kupujúceho sa vyžaduje, aby počas lehoty na odstúpenie od zmluvy s tovarom manipuloval a kontroloval ho s náležitou starostlivosťou, napríklad zakúpené oblečenie by mal kupujúci len vyskúšať, ale nemal by ho nosiť. Kupujúci je teda povinný tovar vrátiť nepoškodený, nepoužívaný, bez známok opotrebenia, bez známok nosenia tovaru (to nie je napr. v prípade, ak je tovar zašpinený od make-up, dezodorantu a pod.), tovar sa má vrátiť s pôvodnými visačkami, či inými ochrannými, alebo identifikačnými prostriedkami. Predávajúci vrátený tovar prekontroluje a preskúša. Pokiaľ bol tovar vrátený kupujúcemu nepoškodený a neopotrebovaný, vráti predávajúci kupujúcemu zaplatenú kúpnu cenu tovaru v súlade s VOP a právnymi predpismi SR. Na základe tejto dohody sa kúpna cena vráti bankovým prevodom na pôvodný účet kupujúceho, ak sa strany nedohodnú inak. 6.2. V prípade vrátenia poškodeného tovaru používaného nad rámec zaobchádzania potrebného na zistenie vlastností a funkčnosti je predávajúci oprávnený uplatniť si voči kupujúcemu náhradu škody, resp. iné zákonné nároky. Tieto nároky je oprávnený započítať si oproti pohľadávke na vrátenie kúpnej ceny ( s výnimkou tovaru vráteného z dôvodu preukázaných záručných vád ). 6.3. Na základe dohody predávajúceho a kupujúceho a v súlade s týmito VOP nie je kupujúci oprávnený bez uvedenia dôvodu odstúpiť od kúpnej zmluvy v ktoromkoľvek z nasledovných prípadov: a) predaj tovaru uzavretého v ochrannom obale, ktorý nie je vhodné vrátiť z dôvodu ochrany zdravia alebo z hygienických dôvodov a ktorého ochranný obal bol po dodaní porušený. b) predaj tovaru, ktorý môže byť vzhľadom na svoju povahu po dodaní neoddeliteľne zmiešaný s iným tovarom. 6.4. Pri porušení podmienok pre odstúpenie od zmluvy alebo riadneho vrátenia tovaru je predávajúci oprávnený uplatniť si u kupujúceho náhradu škodu, ktorá mu tým vznikla podľa príslušných právnych predpisov SR. 7. Ochrana osobných údajov Podrobné informácie o spracovaní osobných údajov (link). 8. Záverečné ustanovenia 8.1. Predávajúci je oprávnený uschovať a archivovať vzájomnú dokumentáciu a zmluvu v elektronickej forme spolu s príslušnými Všeobecnými obchodnými podmienkami po dobu 5 rokov. Archivovaná zmluva nie je dostupná kupujúcemu. Na uzatvorenie zmluvy je ponúkaný slovenský jazyk a anglický jazyk. Kupujúci je oprávnený podstatné náležitosti zmluvy v elektronickej podobe reprodukovať v súlade s právnymi predpismi SR. Zmluva sa uzatvára na dobu do vysporiadania záväzkov strán zo zmluvy, resp. na dobu do okamihu jej zrušenia postupom podľa zmluvy, VOP a právnych predpisov SR. Minimálna dĺžka trvania záväzkov kupujúceho zo zmluvy je určená právnymi predpismi SR, VOP a zmluvou. 8.2. Pre doručovanie elektronických správ adresovaných kupujúcemu platí, že ak predávajúci neobdrží chybové hlásenie o nemožnosti doručenia správy ( e-mailu alebo sms správa ) na poskytnutú e-mailovú adresu, resp. telef. číslo kupujúceho (mobil), považuje sa táto správa (e-mail alebo sms správa) za doručenú na ďalší deň od jej odoslania, ak kogentné právne predpisy neustanovujú inak. Pre doručovanie elektronických správ adresovaných predávajúcemu (e-mail) platí, že elektronická písomnosť sa považuje za nedoručenú do momentu, kým jej prijatie predávajúci nepotvrdí kupujúcemu spätnou e-mailovou správou. Zásielka sa považuje za doručenú aj v prípade, ak ju adresát odmietne prevziať, alebo aj v prípade, že si ju adresát vlastným zavinením alebo opomenutím neprevezme. V takom prípade sa považuje za doručenú uplynutím úložnej doby na pošte v trvaní podľa určenia odosielateľa a vrátením zásielky odosielateľovi, o čom musí odosielateľ preukázať nepoškodený dôkaz. Oznámenia doručované prostredníctvom doručovateľa Slovenská pošta, a.s. , resp. kuriérskej služby (najmä DHL, IN TIME, UPS) budú považované za doručené momentom prevzatia zmluvnou stranou. V prípade neúspešnosti doručenia prostredníctvom Slovenskej pošty, a.s., resp. kuriérskou službou sa bude považovať za moment doručenia tretí deň po vykonaní prvého pokusu o doručenie, pričom vykonanie pokusu o doručenie sa preukáže vyhlásením doručovateľa – Slovenskej pošty, a.s., resp. kuriérskej služby. Je výlučným oprávnením predávajúceho rozhodnúť akou formou a v ktorých prípadoch touto formou bude komunikovať s kupujúcim ( sms alebo e-mail alebo iný vhodný spôsob). 8.3. Ak sa preukáže, že niektoré z ustanovení VOP a/alebo zmluvy je neplatné alebo neúčinné, nemá takáto neplatnosť alebo neúčinnosť za následok neplatnosť alebo neúčinnosť ďalších ustanovení zmluvy / VOP. V takomto prípade sa strany zaväzujú bezodkladne nahradiť takéto neplatné alebo neúčinné ustanovenie novým tak, aby bol zachovaný účel, sledovaný príslušným neplatným či neúčinným ustanovením v čase jeho prijatia, resp. uzatvorenia tejto zmluvy. 8.4. Nad činnosťou predávajúceho je oprávnený vykonávať dohľad orgán – Slovenská obchodná inšpekcia. 8.5. Rozhodným hmotným a procesným právom ( governing law ) je právo Slovenskej republiky. Všetky spory, ktoré vzniknú z VOP, zmluvy alebo v súvislosti s nimi, vrátane sporov z dodávok tovaru budú prejednávať a rozhodovať výlučne súdy v Slovenskej republike podľa práva SR. 8.6. VOP sú platné a zaväzujú odo dňa ich zverejnenia na internetovej stránke predávajúceho. Predávajúci si vyhradzuje právo podľa vlastného uváženia ich rušiť, meniť, upravovať alebo nahrádzať novými s tým, že na uzatvorené zmluvy sa vzťahujú VOP platné v čase uzatvorenia kúpnej zmluvy. Vykonaním registrácie, ako aj zaslaním objednávky a odkliknutím súhlasu so znením VOP na www.mymegin.com pri ukončení procesu objednávania kupujúci potvrdzuje, že mu boli poskytnuté informácie o práve kupujúceho odstúpiť od zmluvy podľa § 3 ods. 1 písm. h) zákona č. 102/2014 Z.z., že sa oboznámil a súhlasí s VOP, reklamačným poriadkom (čl.5), považujúc ich za súčasť zmluvného vzťahu. 8.7. VOP v tomto znení sú zverejnené a platné a účinné od 01.12.2018 a použijú sa na objednávky doručované cez nákupný portál po tomto dátume.	Translation - English GENERAL TERMS AND CONDITIONS 1. At the same time, under these General Terms and Conditions (hereafter referred to as GTC) provided acceptance of the order / draft contract by the seller this person as a buyer has the opportunity to buy selected goods. 1.2 Seller's operating hours: on business days from Monday to Friday from 09.00 to 16.00 except for bank holidays and rest days. This information may subsequently be amended or supplemented on www.mymegin.com website. 1.3 These GTC regulate a legal relationship between the seller and buyer who, in accordance with and following the GTC, shows interest in buying goods on www.mymegin.com. These legal relationships between the seller and the buyer arising out of the purchase, supply of goods and claims of goods are, depending on their content and candidates of purchase, adequately governed by the provisions of the relevant Slovak legislation, in particular the Civil Code (Act No. 40/1964 Coll. (Act No. 513/1991 Coll.). These GTC also regulate the parties' obligations up to the moment of concluding the purchase contract based on the customer’s registration. Relationship between the seller and the buyer is also governed by Complaint Rules available on the e-commerce www.mymegin.com (hereinafter referred to as "Complaint Rules") referred to in point 5.d of these GTC. GTC. 1.4 Purchase contract represents an agreement between the seller and the buyer, subject of which is the purchase of goods presented on www.mymegin.com, concluded under Article 2 et seq. GTC. 1.5 The provisions of the GTC and the law regulating the consumer's rights do not apply to a buyer who is not a consumer under Act no. 250/2007 collection of laws, or a customer buying goods for business purposes and not for personal consumption. Such person does not have consumer rights under the applicable Slovak legislation. Liability for defects in goods and the relationship between the seller and the buyer who is not a consumer is governed in this case by the provisions of the Commercial Code of the Slovak Republic. 1.6 2. Ordering goods / Contract of sale / Actions on closing of a contract 2.1. The purchase of the goods is done by issuing and sending an order to the buyer on the seller's shopping portal, whereby the buyer's order is agreed by the buyer in accordance with the GTC, otherwise the contractual relationship will not arise. If the order is accepted by the seller in accordance with the GTC procedure, the seller shall deliver the ordered goods within the delivery period according to Art. 4.1 GTC. Before the order is sent by the buyer, the buyer is provided with all information on the e-commerce and the GTC according to special regulations, especially pursuant to § 3 of Act no. 102/2014 collection of laws. Buyer agrees to these terms by checking the appropriate box before submitting their order on the e-commerce. By sending the order to the seller, the buyer affirms that they have been informed that by placing an order they are obliged to pay the price of the ordered goods. 2.2 The buyer searches for and selects goods according to the categories listed in the products menu, or by clicking on the displayed item. When selecting goods, the buyer selects the specific item according to the product information and clicks on the "Add to Cart" button to add the goods to their order. When the buyer completes the selection of goods, they click on the "Order with obligation to pay" button. Otherwise, he is entitled to return to the shopping process by selecting the "Continue shopping” option. 2.3 Issuing the buyer's order consists of 4 steps: (a) selection of goods (b) agreement with the General Terms and Conditions (c) selection of payment method, type of transport and delivery costs (d) submitting the order by clicking the "Order with obligation to pay" button 2.4 In each of these steps, buyers follow the step-by-step instructions. The Buyer is obliged to provide complete, truthful and correct information necessary for the proper delivery of the goods. The buyer is required to check the accuracy of the selected information and data in the ordering process prior to their final forwarding to the seller. 2.5 It is expressly forbidden for the buyer to apply any other conditions than those stated in the order, including additional conditions stated in other documents, reports or e-mails which are contrary to these GTC. 2.6 The buyer's order is deemed to be sent when it is delivered to the seller and contains all required data - name(s) of the ordered goods, their quantity, the transport means, the billing address, and the buyer's e-mail and telephone contact information. 2.7 Before sending the order to the seller, the buyer is always required to confirm that they have become acquainted with and agrees with the seller's applicable GTC and considers them to be part of the contractual relationship. The process of issuing and sending the order(s) to the buyer can not be completed without doing so. Each order is assigned a registration number. When communicating with the seller and when making a payment, the buyer also states the order number. 2.8 The buyer sends the order to the seller via the shopping portal. This order is a proposal of the buyer to enter into a purchase contract in accordance with the terms of these GTC. The order shall be accepted by the seller within 15 days of delivery. By sending the order to the seller via sellers shopping website the buyer approves his order and agrees to fulfil it during the stated period, as well as to buy and pick up the selected goods at the purchase price, in accordance with the terms of the GTC, provided the order is accepted by the seller. Upon delivery of the order, the seller first sends the buyer a notification email informing the buyer that he has received the order and that it is filed in the seller's system. 2.9 Upon agreement between the parties and in accordance with the GTC, the purchase agreement between the parties is closed, if the seller accepts the order in a special e-mail or message addressed to the buyer within 15 days of delivery (i.e. agrees with the order) in accordance with these GTC. The seller accepts the buyer's order by sending an e-mail or message to the buyer. The buyer's acceptance email is the information on receiving the buyer's order and, where appropriate, the goods dispatch receipt (for the GTC, hereinafter referred to as "Order Acceptance"). By accepting the order, a purchase contract is concluded between the parties. The seller is obliged to fulfil an accepted order, based on the agreement of both parties and the mentioned GTC within the time limit under Art. 4.1 GTC. 2.10 Change in order / conditions: if the seller will not be able to agree - accept the buyer's order in full (e.g. 1 out of 4 items will not be available) or if he suggests changing the delivery conditions for other reasons, the buyer will be informed by email or in another suitable manner. At the same time, they will be asked to express their consent or disagreement with the change. The buyer is required to express consent or disapproval with this change within 2 days from the date of notification of the proposed change. During this period of time, items from the buyer's order are reserved for the buyer. Upon acceptance by the buyer of the change proposed by the seller, a contractual relationship arises between the parties. In case the buyer does not agree to the change within the specified time frame, the buyer's order is deemed to have been cancelled and the seller's proposal for change as not accepted by the buyer. 2.11 Purchase agreement between the seller and the buyer is closed by accepting the buyer's order by the seller or accepting the change in the order proposed by the seller and accepted by the buyer. From the purchase contract, the seller is obliged to submit the object of the purchase to the buyer and to discharge the obligations under the GTC. The Buyer will be obliged to take the object of the purchase from the concluded contract, to pay the seller the agreed price and to fulfil the obligations under the contract and GTC. The seller will fulfil the accepted order within the time frame specified in Art. 4.1 GTC. 2.12 In special cases and prior to the acceptance of the order, the seller reserves the right to require the buyer to provide the necessary supporting documents, data or to verify the accuracy of their personal data, such as the email address or the telephone number. The seller is always entitled, depending on the nature of the buyer's order, to ask the buyer for an additional authorization of the buyer's order or identity in an appropriate manner, such as in writing, by e-mail, by text message or by telephone. If the buyer does not provide additional authorization in the required manner and in the seller's requested time frame, by expiration of this time limit is the order (before acceptance) or the purchase contract (upon acceptance) deemed to have been cancelled. 2.13 If the seller discovers a print, system, human factor based, supplier, or other error regarding the goods, their price, availability, quantity, or delivery options, as well as in the event of stock sales, unavailability of the goods, or if he is unable to deliver the goods to the buyer before or after the conclusion of the contract in the agreed time, or for the price stated on the on-line store, or for reasons such as “Acts of God”, he will inform the buyer of this fact. Both the seller and the buyer are entitled to revoke / cancel their order in any of these special cases before the contract is concluded. It can be cancelled by the buyer or rejected by the seller. If such a special event occurs after the conclusion of the contract, the seller is entitled to withdraw from the contract until the moment the goods are delivered to the buyer. The buyer is also entitled to withdraw from the purchase contract in the case of this exceptional circumstance in accordance with the GTC and the legislation of the Slovak Republic. If the buyer has already paid the purchase price, it will be refunded to him in accordance with the SR legislation and the GTC. The seller is entitled to unilaterally withdraw from the contract and / or not to deliver the goods to the buyer even if he finds out that he has received incorrect, incomplete or untrue data regarding the buyer or the person receiving the goods. Or if, due to the behaviour of the person with whom the seller is in contact regarding the purchase may cause damage to the seller (e.g. fraudulent action). 2.14 The buyer is entitled to withdraw from the contract unilaterally even before the start of the withdrawal period. The seller on the website: www.mymegin.sk also publishes guidance on the Application of the Buyer's (Consumer's) Right of Withdrawal as well as a Model Form for the Buyer (Consumer) to withdraw from the contract. The Seller provides the Buyer with guidelines on how they can apply their right to withdraw from the contract and the Buyer's Resignation Form at the time of conclusion of the contract, sending these documents together with the GTC by email to the Buyer. 2.15 Neither the Buyer nor the Seller are entitled to assign the claim to a third party for mutual relations. 3. Purchase price and terms of payment 3.1. The Buyer is obliged to pay the seller the purchase price for the goods and the shipping costs according to the confirmed order (the concluded contract). When placing an order, these items are listed as a summary (sum of the price of the goods and the shipping costs). The price of goods on the website is including VAT, unless stated differently, that is "price without VAT". VAT applies to the supply of goods and services in accordance with Slovak legislation. 3.2 The purchase price of goods does not include bank charges for transactions, freight costs, shipping costs, COD (cash on delivery) costs of the goods purchased under article 4. GTC, the cost of using electronic means of communication. These fees and costs are payable by the buyer, unless stated otherwise. When paying from abroad, buyers are required to pay their bank fees and other fees, in particular correspondent banks and beneficiary bank costs. 3.3 The price may change for obvious press or other error related to the price of the goods found in the seller's system or published on the shopping website. Both, the Buyer and the Seller are entitled to cancel the order, or withdraw from a purchase contract if the buyer is notified of a change in the purchase price for an item due to a press or other mistake / error regarding the price of the goods. 3.4 The method of payment for the purchase and the shipping cost (the method of payment is chosen by the buyer in the process of ordering the goods on the shop's website and is stated in the order including the final calculation of costs): • credit transfer to the seller's account at the time of the order creation - the purchase price and the shipping cost are stated as part of the order also while creating the order. • cashless transfer via PayPal. When proceeding with the payment, the buyer has to enter the order number as the variable symbol. Incorrectly enrolled variable symbol in the payment process leads to incorrect purchase price billing. The buyer bears all the risks and regarding this situation is in default with the obligation to pay for these expenses. 3.5 The purchaser is obliged to pay the purchase price for the non-cash payment to the seller's account no later than 3 days from the date of conclusion of the contract and before the goods are picked up in the manner specified in Art. 3. GTC; the buyer is entitled to pay when issuing and sending the order to the seller, with the payment being perceived as an advance on the purchase price and the cost for transporting the goods, but the buyer is advised to pay only upon acceptance of the order by the seller (the conclusion of the contract). 3.6 Fees for making a payment for goods and shipping costs to the buyer are governed by a contract between the buyer and their bank. The buyer is informed that the shipping cost is clearly stated in the ordering process and depends on the selected shipping method: carrier / delivery service. The cost of using electronic means of communication is governed by a contract between the buyer and his Internet service provider, or his electronic communications service provider. 3.7 The seller shall issue and deliver the invoice to the buyer in accordance with applicable laws of the Slovak Republic. The Buyer agrees to send the invoice together with the goods or make it available to the buyer electronically. The invoice is sent along with the goods and the invoice is also a delivery note and warranty card if no separate warranty card is delivered. A separate warranty certificate can be issued by the seller at the request of the buyer. 3.8 Upon withdrawal from the concluded contract, it is proceeded in accordance with the legal regulations of the Slovak Republic and the GTC. If the purchase price has been paid before the contract is concluded and the contract is not closed within 15 days of delivery of the buyer's order, the purchase price will be returned to the buyer no later than 30 days from the date of delivery of the buyer's order or 14 days from the date of the order's rejection or order cancellation; whichever happens first. Repayment of the purchase price is made to the account from which the payment was received, otherwise by agreement between the parties. Before refunding the paid price, in case of doubt, the seller is entitled to require proof of the fact that the Buyer is the owner of the account and / or is eligible to receive the funds. If the buyer is obliged to return the purchase price to the buyer and the goods have already been delivered to the buyer, the seller will return the purchase price to the buyer once the goods will have been returned to the seller. 4. Supply of goods, Terms of Delivery and Delivery Costs 4.1 The seller shall deliver the goods to the buyer within 15 days of the date on which the contract was concluded between the seller and the buyer in accordance with these GTC. The seller will deliver the goods to the buyer at the address given at the time of the order and exclusively to the person who is listed as the buyer. For this reason, it is necessary for the buyer to correctly enter his identification data when ordering the goods and the delivery data. If circumstances so require, the seller and buyer may agree to an extension of the delivery period, or alternatives of the same quality and price. Otherwise, the seller, the carrier / shipper is not entitled to deliver the goods and the seller is not in delay with the delivery. Buyer is obliged to properly pick up the goods to the extent of the seller's accepted order. Buyer acquires ownership of the goods only after payment of the purchase price, the price of the transport and subsequent takeover of the goods. 4.3 The method of delivery is selected by the buyer on the shop’s website when ordering the goods from options offered by the seller. Delivery of the goods may, in principle, be by a shipping company or via post office and the shipping costs are stated in the order. 4.4 In specific cases, the seller is entitled to change the buyer's chosen way of transporting the goods to another method of transport proposed prior to accepting the order. In this case, the buyer will be informed in writing of this fact, will be offered a change of order, the terms of the contract under Art. 2 of the GTC and will be informed about the change in shipping costs. Changes in the shipping cost as a result of changing the method of transport will not be to the detriment of the buyer. 4.5 The buyer is informed that the seller is entitled to deliver the goods also with several separate deliveries, and that for such separate deliveries, the price of the transport is the same as at the time the order has been accepted (i.e. more transports are charged only for the price of one shipment). 4.6 The seller, delivery company or the shipping company is authorized to provide the buyer with information about the goods by e-mail, SMS or other appropriate means (e.g. by phone). The buyer agrees, the seller provides these information to the shipping company or to the buyer's courier. The buyer is obliged to be reachable at the address provided by the buyer and at the time of the notified delivery. 4.7 When picking up the goods, the buyer is required to prove his identity without any formal notice to the carrier by means of valid ID (e.g. an ID card, a passport). These documents must show the identity of the buyer and the right to take the goods. Otherwise, the goods may not be handed over by the seller / carrier. 4.8 If the buyer unreasonably refuses to take the goods or does not improperly take it repeatedly, the seller is entitled to reimburse him for all costs incurred in this respect. 4.9 The seller is entitled to determine unilaterally and at his own discretion the value of the order where the buyer no longer pays the shipping costs for their order. Buyer shipping costs will be displayed in their order on www.mymegin.com website. The seller is entitled to unilaterally modify and adjust the value of the order (purchase contract) in which the buyer does not pay the shipping charges, without having to change the GTC. This change does not affect the concluded contracts. 4.10 When the goods are taken over, the buyer is obliged to check the integrity of the package and the completeness of the delivery, especially the number of packaging (parcels / packages). In the case of any apparent defects found in connection with the delivery or the goods, the Buyer is obliged to notify the carrier and the seller immediately and within 24 hours. The buyer is obliged to state on the transport document all obvious damage to the delivered goods and the damage to the packaging. If the transport packaging is damaged or if there is a clear disruption of the package, or the goods, it is obvious that this is an unlawfully opened package, the buyer is obligated to not take the goods from the carrier / shipping company. By signing the transport document, the Buyer confirms that the parcel was delivered in good condition. If the buyer does not object to the non-delivery of the goods and documents delivered with the goods within 24 hours from the delivery of the goods, it is assumed that the goods were delivered to the buyer properly, unless evidenced otherwise. 4.11 Damage to the goods must be communicated by the buyer to the seller by e-mail or other appropriate means. It is not possible to take into account the additional mechanical damage detected after the goods are taken and therefore these will not be accepted. 4.12 The seller will immediately inform the buyer of the impossibility to deliver the goods as well as in cases of force majeure or reasons for which neighter the seller nor the carrier / shipping company is responsible. 5. Warranty, Claim conditions and Return policy 5.1 The provisions of this point do not apply to a buyer who is not a consumer or to persons who purchase goods for business purposes and not for personal use of the natural persons; liability for defects in goods is governed in this case by the provisions of § 422 et seq. of the Commercial Code. Seller deals with consumer complaints in accordance with the laws of the Slovak Republic, in particular Act no. 250/2007 Z.z. as amended, the Civil Code and other valid legal regulations of the Slovak Republic. 5.2 For all goods purchased under civil relationships, the warranty period is 24 months in accordance with the legal regulations of the Slovak Republic if the Slovak legislation does not state a shorter period for certain goods. The warranty period is set from the date on which the goods are taken by the buyer. The seller is liable to the buyer (consumer) for defects in goods under the applicable Slovak legislation. 5.3 The duration of the warranty period arises from the legal regulations of the Slovak Republic. If there is a period of use stated on the goods, their packaging or in the instructions attached to it, the warranty period shall not expire before this period of use. 5.4 The warranty does not apply to defects and damages incurred: in connection with normal wear and tear, the action of the buyer or third person after receiving of the goods by them, improper handling, excessive handling, mechanical damage or wear, the use of goods contrary to the instructions or purpose of use or non- rules of use, maintenance or storage. 5.5 The buyer also disclaims the warranty if he demonstrably affects or adjusts the goods. 5.6 The buyer can make a claim: by email and by following the procedure posted on the seller's website - – www.mymegin.sk, or in writing at the address of the seller. Filip Matoška - Megin co., Podhlinie 4531/36, 017 01 Považská Bystrica, the Slovak republic. 5.7 The buyer shall attach the original or a readable copy of the purchase, they shall describe of the defect and the manner in which the defect is visible externally and send the claim documentation with the goods to the seller. The goods shall be delivered in a clean state and equipped with the supplied accessories. 5.8 When applying the claim, the seller gives the buyer (consumer) a confirmation statement. It is not possible to assess a claim without submitting the goods with a copy of a proof of purchase. 5.9 Claims can be made if the following facts are proven: (i) the defect of the goods occurred during the warranty period (in order to prove this, the buyer is obliged to provide a proof of purchase of the goods); (ii) proof that the goods have been purchased by the buyer at the seller and at what price (for this purpose the buyer is required to provide a valid proof of purchase of the goods); (iii) the goods are faulty (for this purpose the Buyer is obliged to deliver the faulty goods to the Seller's correspondent address.) In the event that any of the above conditions are not met by the buyer, the seller may not accept the claim of the goods as eligible. 5.10 In the case of a defect that can be removed, the buyer has the right to have the fault removed free of charge, timely and properly. The seller is required to remove the fault without undue delay. Instead of removing the defect, the buyer may request the exchange of the item or if the defect only concerns part of the item, the replacement of the part, if by this, the seller does not incur excessive costs in relation to the price of the goods or the seriousness of the defect. Instead of removing the defect, the seller may always replace the defective item as impeccable if this does not cause serious difficulties to the buyer. If there is a fault that cannot be removed and prevents the item from being properly used as in its fully working condition, the buyer has the right to exchange the item or has the right to withdraw from the contract. The same rights apply to the buyer if there are removable defects, but if the buyer can not properly use the goods after several repairs or for a larger number of faults. 5.11 In the event of a complaint / claim, the seller will determine the manner in which the claim will be settled immediately or in complex cases no later than 3 business days from the date of the claim. In justified cases, in particular if a comprehensive technical assessment of the condition of the product or service is required the seller will determine the manner in which the claim will be settled within 30 days of the date of the claim. After determining the way the claim will be handled, claims will be resolved immediately; in justified cases, the claim can be reclaimed later; resolving the claim can not take more than 30 days from the date of the claim. After the expiration of the time frame for resolving the claim, the buyer has the right to withdraw from the contract or has the right to exchange the product for a new product. 5.12 If the buyer (consumer) claimed the product during the first 12 months from the purchase, the seller can reject the claim only on the basis of an expert opinion; irrespective of the outcome of the expert opinion, it is not possible for the buyer (consumer) to bear the cost for the expert opinion service or other costs related to the expert opinion. The seller is required to provide the buyer (consumer) with a copy of the expert opinion justifying the rejection of the claim no later than 14 days after the complaint / claim has been sorted. If the buyer (consumer) has applied the product claim later than 12 months after the purchase and the seller has rejected it, the person who has dealt with the claim is required, within the proof of the complaint, to advise to whom the buyer (consumer) can send the product for expert opinion. If the product is sent for expert opinion to the intended person, the costs of professional judgement, as well as all other related expense incurred, shall be borne by the seller irrespective of the outcome of getting the expert opinion. If the buyer (consumer) proves by the expert opinion the seller's liability for a fault, he may reapply the claim; during the expert judgement, the warranty period does not expire. The seller is obliged to pay the buyer (consumer) within 14 days from the day of reapplying the claim all the costs for the expert's report as well as all related expenses. The reclaimed claim can not be denied. 5.13 If the buyer fails to take the goods within 30 days after filing the claim or within 30 days of the repeated delivery of the goods to the buyer or does not take it within the same time frame from having it sent by the seller after the termination of the claim at the contact address provided by the buyer the seller is entitled to request a payment of EUR 1,00 for each day of storage of the goods from the buyer. 5.14 The buyer who has the status of a consumer - has the right to contact the seller with a request for redress (by e-mail to - [email protected]), if they are not satisfied with the seller's handling of his claim or if he believes that the seller violated his rights. If the seller answers this request with a negative decision or fails to respond to this request within 30 days of dispatch, the buyer (consumer) has the right to file a petition for alternative dispute resolution (hereafter referred to as “ADR”) dispute under Act 391/2015 Collection of Laws. ADR entities are bodies and authorized legal entities under Section 3 of Act 391/2015 Collection of Laws. The proposal may be submitted by the buyer (consumer) in the manner specified in §12 of Act 391/2015 Collection of Laws. The buyer (customer) can also file a complaint through the ADRP Alternative Dispute Resolution Platform, which is available on the following website: https://ec.europa.eu/consumers/odr/main/index.cfm?event=main.home.chooseLanguage. An alternative dispute resolution can only be used by a consumer - a natural person who does not take part in the course of their business, employment or occupation when they conclude and perform a consumer contract. An alternative dispute resolution only concerns a dispute between a consumer and a seller resulting from a consumer contract. Alternative dispute resolution applies only to long distance contracts. An alternative dispute resolution does not deal with disputes where the value of the dispute does not exceed value of 20 EUROS. The ARS may require the consumer to pay a fee for starting an alternative dispute resolution up to a maximum of 5 EUROS including VAT. 6. Return of goods - withdrawal from contract 6.1 The buyer (customer) has the right to withdraw from the contract without stating the reason within 14 days. Where the goods are delivered separately, the withdrawal period shall expire 14 days after the date on which the buyer (consumer) or the person designated by him, with the exception of the carrier, receives and takes the last delivered item. When applying the right of withdrawal, the buyer (customer) informs the seller of their decision to withdraw from this contract by an unambiguous statement (for example, by a letter sent by post) to: Filip Matoška - Megin co., Podhlinie 4531/36, 017 01 Považská Bystrica, the Slovak republic. For this purpose, the buyer (consumer) may use the template Form for contract withdrawal, that has been sent to the buyer or made available on the seller's website / shopping portal. The time limit for withdrawal is maintained if the buyer (consumer) sends a notice of exercise of the right of withdrawal before the expiry of the withdrawal period. More detailed conditions are set by the Act no. 102/2014 Collection of Laws. After the contract withdrawal, the seller returns to the buyer (the customer) all payments that the seller is obliged to return under the legislation. The payment for the purchased goods will be refunded to the buyer only after the returned goods are delivered back to the seller's address. The goods must be delivered back to the address Filip Matoška - Megin co., Podhlinie 4531/36, 017 01 Považská Bystrica, the Slovak republic no later than 14 days after the date of the exercise of the right of withdrawal. The direct costs of returning goods are borne by the buyer. After the goods have been delivered, the buyer has the opportunity to test their functionality but cannot use the goods if he has withdrawn from the contract. In order to determine the characteristics and functionality of the goods, the buyer should manipulate the goods and check them only in the way they would be allowed in a physical shop. The buyer is required to manipulate and control the goods during the withdrawal period, with due care, for example, the buyer should only try the outfit on but should not wear it. The buyer is therefore obliged to return the goods undamaged, unused, without signs of wear, without signs of wearing goods (this is not the case, for example, if the goods are soiled with makeup, deodorant, etc.), The goods should be returned with the original tags, or other protective or identifying means. The seller checks and tests the returned goods. If the goods are returned to the seller undamaged and unused, the seller returns the purchase price to the buyer in accordance with GTC and Slovak legislation. Under this agreement, the purchase price will be refunded by bank transfer to the original buyer's account, unless the parties agree otherwise. 6.2 In case the item(s) are returned damaged or used in excess of the use necessary to ascertain the properties and functionality, the seller is entitled to claim compensation or other legal claims against the buyer. These claims are eligible for compensation against the right to repayment of the purchase price (with the exception of goods returned due to proven deficiencies) 6.3 By Seller's and Buyer's Agreement, and in accordance with this GTC, the buyer is not entitled to withdraw from the Purchase Agreement without giving any reason in the following cases: (a) the sale of goods contained in a protective packaging which is not suitable for return for health or hygienic reasons where the protective packaging has been broken / opened after delivery. (b) the sale of goods which, by reason of their nature, can be inseparably mixed with other goods during or after delivery. 6.4 In the event of a breach of the conditions for withdrawal or proper return of the goods, the seller is entitled to claim from the buyer compensation for damages incurred in accordance with the relevant Slovak legislation. 7. Final Clauses 8.1 The seller is entitled to keep and archive the mutual documentation and the contract(s) in electronic format together with the relevant General Terms and Conditions for a period of 5 years. The archived contract is not available to the buyer. The Slovak and English languages are offered for the conclusion of the contract. The buyer is entitled to reproduce the essential clauses of the contract in electronic form in accordance with the legislation of the Slovak Republic. The contract is concluded for a period up to the settlement of the parties' obligations under the contract or for the period up to the moment of its cancellation in accordance with the contract, GTC and the Slovak legislation. The minimum duration of the buyer's contractual obligations is determined by the laws of the Slovak Republic, the GTC and the contract. 8.2 For delivery of electronic messages addressed to the buyer, if the seller does not receive an error message about the impossibility of delivering the message (e-mail or text message) to the provided e-mail address or to the buyer's phone number, this message is deemed to have been delivered the next day after it was dispatched, unless otherwise specified by the law. For electronic delivery of emails addressed to the seller (e-mail), the electronic document is deemed to be undelivered until the seller accepts the receipt by the buyer via e-mail. The consignment is deemed to have been delivered even if the addressee refuses to accept it or if the addressee fails to take it by their own fault or omission. In such a situation, the package is deemed to have been delivered by the expiration of the storage period of the post office for this package, and returning the package to the sender, this situation requires the sender to provide an undamaged proof about this event. Notices delivered to the seller by the Slovak Post Office, a.s. , or courier services (in particular DHL, IN TIME, UPS) will be deemed to have been delivered at the time of taking by the contractual party. In case of unsuccessful delivery via Slovak Post a.s. or through the selected courier service, the day of delivery will be the third day after the first delivery attempt. The supplier's declaration - Slovak Post a.s. or other courier service, as evidenced by the supplier's statement, is proof of the supply attempt. The seller has the right to decide in what form and in which cases he will communicate with the buyer via (sms, email or other appropriate means). 8.3 If any of the provisions of the GTC and / or the contract prove to be invalid or ineffective, such invalidity or ineffectiveness does not result in the invalidity or ineffectiveness of any other clause of the Contract / GTC. In such a case, the parties undertake immediately to replace such invalid or ineffective provision with a new one in order to preserve the purpose pursued by the relevant invalid or ineffective provision at the time of its acceptance or the conclusion of the contract. 8.4 The authority of the Slovak Trade Inspection is authorized to supervise the Seller's activities. 8.5 The substantive and procedural law is the law of the Slovak Republic. All disputes arising from, or in connection with the GTC, including disputes arising from the supply of goods, will be dealt with and decided exclusively by courts in the Slovak Republic under the law of the Slovak Republic. 8.6 The GTC is valid and binding from the date of its publication on the Seller's website. The Seller reserves the right to distribute, modify, edit or replace the current GTC, provided that the concluded contracts are covered by the GTC applicable at the time of the conclusion of the purchase contract. By performing the registration as well as by sending the order and by cancelling and agreeing with the GTC on the following website - www.mymegin.com at the end of the ordering process, the buyer confirms that they have been informed about the right of the buyer to withdraw from the contract pursuant to § 3 par. (1) h) of Act no. 102/2014 Collection of Laws and that he has become acquainted with and accepts the GTC as well as the Complaint Rules (Article 5), considering them as part of the contractual relationship. 8.7 GTC in this wording are published and effective from December 1, 2018 and apply to orders processed via the e-commerce / shopping portal from this date on.
