16.1 The Distributor shall indemnify the Supplier and any member of its Group, and their respective officers, directors, agents and employees on demand and without any withholding of tax or set-off against any and all losses (including direct and indirect losses whether foreseeable or not), damages, claims, lawsuits, demands, costs, expenses and fines and penalties, including without limitation legal or other professional fees, and interest incurred by the Supplier, and/or any member of its Group and their officers, directors, agents and employees, in connection with or arising from (i) any breach of this Agreement by the Distributor, (ii) or any action by any of the Distributor’s personnel, employees or agents in carrying out this Agreement, or (iii) any negligent or wrongful act or omission of the Distributor.

16.1 El Distribuidor deberá exonerar de responsabilidad al Proveedor y a todos los miembros de su Grupo, así como a sus respectivos directivos, consejeros, mandatarios y empleados, previo requerimiento y sin retención de ninguna clase de impuesto o deducción, por cuantas pérdidas (incluso pérdidas directas e indirectas, fueran o no previsibles), daños y perjuicios, reclamaciones, pleitos, demandas, costes, gastos y multas y sanciones, incluso, sin limitaciones, honorarios de asesores jurídicos y otros profesionales, e intereses soportados por el Proveedor y/o cualquier miembro de su Grupo, o por sus respectivos directivos, consejeros, mandatarios o empleados, en el marco o como consecuencia de (i) un incumplimiento del presente Contrato por el Distribuidor, (ii) o cualquier actuación del personal, los empleados o los mandatarios del Distribuidor que se circunscriba dentro de la ejecución del presente Contrato, o bien (iii) cualquier acto u omisión del Distribuidor cometidos con dolo o negligencia.
