Source text - English Licensee covenants and agrees:
1.1 Liability Insurance
(a) To provide bodily injury and property damage liability insurance in at least the minimum legal amounts specified by Licensor, in addition to the renter such insurance shall protect as an insured xxxxx Co., Licensor, their respective parents, subsidiaries and affiliates, members of the renter's immediate family and his employer and employees where authorized by the renter to use the motor vehicle rented. Licensee will notify Licensor in writing as to the amounts of such insurance it is providing and will increase or change the limits of such insurance if required to do so by law. It shall be a violation of this Agreement for Licensee to rent vehicles without providing insurance in the limits which it has notified Licensor that it is providing. Licensee further agrees to indemnify and save xxxxx Co., Licensor, their respective parents, subsidiaries and affiliates harmless from all loss, cost, liability and expense including attorneys' fees, incurred in connection with or arising out of the operation of Licensee’s business unless caused by the acts of Licensor, its agents or servants. Licensee shall assume full responsibility for property damage to third parties arising out of rentals by customers of Licensee.
(b) To pay an amount equal to a reasonable share of the premium (the "DIC premium") payable by Licensor for bodily injury and property damage liability insurance relating to claims, suits or proceedings instituted and maintained outside of the specific areas but which arise, in whole or in part, from accidents, events, incidents or transactions occurring in the specified areas or involving a vehicle owned or operated by Licensee. Licensor shall calculate said amount annually promptly at the beginning of each fiscal year and shall notify Licensee in writing of such amount. Such amount shall be paid to Licensor within thirty (30) days after receipt by Licensee of Licensor's notice of the amount to be paid.
So long as Licensee shall perform and carry out all of the terms, covenants, conditions and provisions of this Licence Agreement, including without limitation the obligation to pay an amount equal to its reasonable share of the DIC premium as provided above, Licensee shall be relieved of any obligation to indemnify and save harmless in connection with any claim, suit or proceeding instituted and maintained outside of the specified areas and which would normally be covered by the insurance maintained by Licensee as provided in Section 3.1 (a) had such claim, suit or proceeding been instituted and maintained within the specified areas.
(c) It is specifically agreed that Licensee is not paying a premium nor is Licensee buying insurance. Licensee is paying an amount as defined in consideration of the relief from the obligation spelled out in (b) above.
Translation - Arabic يتعهد المرخص له ويوافق على ما يلي:
3-1 تأمين المسؤولية تجاه الغير
(أ) توفير تأمين ضد المسؤولية تجاه الغير عن الإصابات الجسدية وخسائر الممتلكات وفق الحد الأدنى للقيم القانونية التي يحددها المرخص، وبالإضافة إلى المستأجر يوفر هذا التأمين حماية لكل من شركة ×××××× والمرخص، والشركات الأم، والشركات الفرعية، والتابعة، وأفراد عائلة المستأجر المباشرين وصاحب عمله وموظفيه، متى كان مرخصا لهم من المستأجر باستخدام السيارة المؤجرة المعنية. وعلى المرخص له أن يخطر المرخص كتابيا بمبالغ التأمين المشار إليه الذي يوفره، وعليه أن يقوم بزيادة أو تغيير حدود هذا التأمين متى كان القانون يقتضي ذلك. ويعد خرقا لهذه الاتفاقية قيام المرخص له بتأجير سيارات دون توفير التأمين المشار إليه وفق الحدود التي أخطر المرخص بأنه يوفرها. ويوافق أيضا المرخص له على تعويض شركة ××××× والمرخص والشركات الأم، والشركات الفرعية، والتابعة، وإبراء ذمتهم من جميع الخسائر، والتكاليف، والمسؤوليات، والمصروفات بما في ذلك أتعاب المحامين التي يتم تكبدها فيما يتعلق أو ينشأ عن مزاولة نشاط المرخص له ما لم يكن ذلك نتيجة أعمال المرخص، أو وكلائه أو موظفيه. ويتحمل المرخص له المسؤولية الكاملة أمام الغير عن أية خسائر تلحق الممتلكات فيما ينشأ عن معاملات إيجار عملاء المرخص له.
(ب) سداد مبلغ يعادل حصة معقولة من القسط التأميني ("قسط تأمين المخاطر غير النمطية DIC") مستحق السداد على المرخص نظير المسؤولية عن الإصابات الجسدية الأضرار التي تلحق الممتلكات فيما يتعلق بالمطالبات، والقضايا، والإجراءات القانونية المقامة والتي يتم مباشرتها خارج المناطق المحددة ولكنها تنشأ، بشكل كامل أو غير كامل، عن حوادث، أو أحداث، أو وقائع، أو معاملات تقع في المناطق المحددة أو تتعلق بسيارة يملكها أو يشغلها المرخص له. ويجب على المرخص حساب المبالغ المشار إليها سنويا وبشكل فوري مع بداية كل سنة مالية، ويجب عليه أن يخطر المرخص له كتابيا بهذه المبالغ. ويجب سداد تلك المبالغ إلى المرخص في غضون ثلاثين (30) يوما من استلام المرخص له الإخطار المرسل من المرخص بالمبلغ المطلوب سداده.
ومادام المرخص له يؤدي وينفذ جميع البنود، والتعهدات، والشروط، والأحكام الواردة في اتفاقية الترخيص، بما في ذلك على سبيل المثال دون الحصر، الالتزام بسداد مبلغ يعادل حصته المعقولة في قسط تأمين المخاطر غير النمطية على النحو المنصوص عليه أعلاه، يُعفَى المرخص له من أي التزام بالتعويض أو إبراء الذمة فيما يتصل بأي مطالبة، أو قضية، أو إجراءات قانونية يتم إقامتها أو مباشرتها خارج المناطق المحددة والتي عادة يغطيها التأمين الذي يوفره المرخص له على النحو المنصوص عليه في الفقرة (أ) من البند 3-1 حال ما إذا تم إقامة أو مباشرة تلك المطالبة، أو القضية، أو الإجراءات القانونية في داخل المناطق المحددة.
(ج) ومن المتفق عليه تحديدا أن المرخص له لا يدفع قسطا تأمينيا ولا يشتري تغطية تأمينية، وإنما يدفع المرخص له المبلغ المحدد نظير الإعفاء من الالتزام المنصوص عليه في الفقرة (ب) أعلاه

حيث أن المستأنف يتمسك بكل ما سبق وأورده من دفاع ودفوع قانونية بصدر وختام مذكرات دفاعة السابق تقديمها امام محكمة أول درجة وما ارفق طيها من مستندات تثبت وتؤكد صحة ما تقدم عملاً بالأثر الناقل للأستئناف ، كما يتمسك بما سبق واورده بصدر وختام مذكرته الشارحة لأسباب أستئنافه من مناعي على الحكم المستأنف والأسباب التى اقامها عليها ، ومن ثم فهو يحيل الى كل ما تقدم ويعتبره جزء لا يتجزأ من هذه المذكرة ومكملاً لها منعاً من الأعادة والتكرار .
Translation - English First: Recitals Clinging to Previous Submissions:
The Appellant hereby clings to all previous arguments and legal defenses included in previous defense memos which were submitted to the First Instance Court. In particular, the Appellant refers to the documents attached to the said memos which clearly prove and confirm the validity of the previously stated arguments taking into account the substantiating effect of the appeal. The Appellant also adheres to the arguments and evidences stated in the explanatory memo which justified the reasons why this appeal was initiated. These include the comments on the appealed verdict and its underlying reasons. Accordingly, to avoid repetition, the Appellant duly refers to all the aforesaid which are deemed an integral part of this Memo and complementary thereto.
